- Scope of Engagement: This Purchase Order authorizes the engagement of the named Midwife to deliver comprehensive maternal and newborn healthcare services at the Bole Sub-City Maternal Health Center located in Ethiopia Addis Ababa. The Midwife shall adhere to all protocols established by the Federal Ministry of Health of Ethiopia and the Addis Ababa City Health Bureau.
- Contract Duration: The services under this Purchase Order shall commence on 1 August 2025 and shall continue for a period of twelve (12) months, concluding on 31 July 2026, unless renewed in writing by both parties.
- Payment Terms: Payment for the Midwife's professional services shall be made on a monthly basis, within fifteen (15) calendar days of the end of each service month. The Midwife shall submit an itemized invoice to the Procurement Division of the Addis Ababa City Health Bureau. All payments shall be processed in Ethiopian Birr (ETB) via bank transfer to the account specified in Section 2.
- Working Hours and Location: The Midwife shall report to the Bole Sub-City Maternal Health Center, Ethiopia Addis Ababa, on a schedule of six (6) days per week, with a minimum of ten (10) hours per day, including on-call availability for emergency obstetric and neonatal cases as directed by the facility supervisor.
- Professional Standards: The Midwife shall maintain valid professional licensure with the Ethiopian Health Professions Council throughout the contract period. Any lapse in licensure shall constitute grounds for immediate termination of this Purchase Order.
- Confidentiality: The Midwife shall maintain strict confidentiality regarding all patient records, medical histories, and personal information encountered during the course of providing services in Ethiopia Addis Ababa, in compliance with the Ethiopian Data Protection Proclamation No. 1104/2019.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. The Addis Ababa City Health Bureau reserves the right to terminate immediately in cases of gross professional misconduct, negligence, or violation of clinical protocols.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia, including the Ethiopian Civil Code and applicable public procurement regulations.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be referred to the competent court of law in Ethiopia Addis Ababa.
