4.1 This Purchase Order governs the engagement of the named midwife for the provision of professional midwifery services exclusively within the administrative boundaries of Germany Berlin. All clinical protocols shall comply with the German Federal Medical Professions Act (Berufsordnung für Hebammen) and the applicable regulations of the Berlin Senate Department for Health and Social Affairs.
4.2 The midwife shall maintain valid professional liability insurance (Berufshaftpflichtversicherung) with a minimum coverage of €5,000,000 per claim throughout the duration of this Purchase Order. A certificate of insurance shall be provided to the Buyer prior to the commencement of services.
4.3 Payment terms: Net 30 days from the date of invoice. Payment shall be made via SEPA bank transfer to the account designated by the midwife. Late payments shall incur interest at the statutory rate under § 288 BGB (German Civil Code) applicable in Germany Berlin.
4.4 Cancellation: The Buyer may cancel any scheduled midwife service with a minimum of 48 hours' written notice. Cancellations within 48 hours of the scheduled appointment shall be subject to a 50% fee of the listed unit price. The emergency midwife on-call retainer (Item 06) is non-cancellable on a monthly basis.
4.5 Data Protection: All patient data processed by the midwife in connection with this Purchase Order shall be handled in strict accordance with the General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG). Data storage shall occur exclusively on servers located within Germany Berlin or the European Economic Area.
4.6 Quality Assurance: The midwife shall submit quarterly service reports to the Buyer's Department of Obstetric & Midwifery Services. Any clinical incident or adverse event shall be reported to the Buyer within 24 hours and to the relevant Berlin health authority in accordance with statutory obligations.
4.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the competent courts in Germany Berlin.
