This Purchase Order is issued by Shakti Maternal Care Foundation, Bangalore, India, to procure professional Midwife services for the period of July 2025 through December 2025. Service Delivery Location: All Midwife services under this Purchase Order shall be primarily delivered at the Shakti Maternal Care Centre located on MG Road, Bangalore, Karnataka, India. Home visits and community outreach shall be conducted within the Bangalore metropolitan limits as defined by the Bruhat Bengaluru Mahanagara Palike (BBMP).
Qualification Requirements: The Midwife engaged under this Purchase Order must hold a valid Bachelor of Midwifery (B.Sc. Midwifery) degree recognized by the Indian Nursing Council and a current registration with the Karnataka State Nursing Council. The Midwife must also possess a valid medical practice license issued under the Indian Medical Council Act, 1956, or equivalent midwifery regulatory framework in India.
Payment Schedule: Payment shall be made in monthly instalments within 30 days of receipt of a valid tax invoice from the Midwife. All payments shall be processed via bank transfer to the account specified by the vendor. Applicable GST (18% for healthcare services where applicable under Indian tax law) shall be charged separately and reflected on the invoice.
Performance Standards: The Midwife shall adhere to the clinical protocols established by the Indian Council of Medical Research (ICMR) for maternal and child health. All patient records shall be maintained in compliance with the Digital Personal Data Protection Act, 2023, of India, and stored at the Bangalore facility.
Insurance and Liability: The Midwife shall maintain a valid professional indemnity insurance policy with a minimum coverage of INR 50,00,000 (Fifty Lakh Rupees) throughout the duration of this Purchase Order. Any claims arising from negligence during the provision of midwifery services in Bangalore shall be settled through the insurance provider.
Termination Clause: Either party may terminate this Purchase Order with a written notice of 30 days. In the event of termination, the Midwife shall be compensated for all services rendered up to the date of termination. The foundation reserves the right to terminate immediately in cases of professional misconduct, breach of patient confidentiality, or violation of Indian healthcare regulations.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising from this Purchase Order related to Midwife services in Bangalore shall be subject to the exclusive jurisdiction of the competent courts in Bangalore, Karnataka, India.
Confidentiality: The Midwife shall maintain strict confidentiality regarding all patient information in accordance with the Indian Medical Council (Professional Conduct) Regulations, 2002. Breach of confidentiality shall constitute grounds for immediate termination of this Purchase Order and legal action under applicable Indian law.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated lockdowns in Bangalore, or public health emergencies declared by the Government of India.
