1. SCOPE OF PURCHASE ORDER – MIDWIFE SERVICES IN MUMBAI, INDIA
This Purchase Order is issued by Shree Lakshmi Maternity & Women's Care Centre, Mumbai, India, to Mumbai Midwives Professional Services Pvt. Ltd. for the procurement and engagement of qualified, registered Midwife professionals to provide comprehensive antenatal, intrapartum, and postnatal care services at our facility located in Bandra West, Mumbai, Maharashtra, India. This Purchase Order governs the terms, conditions, compensation, and operational parameters for the deployment of Midwife staff as per the requirements of the Indian Nursing Council (INC) and the Maharashtra State Nursing Council regulations applicable in Mumbai, India.

3. TERMS AND CONDITIONS
- Service Location: All Midwife services under this Purchase Order shall be rendered at the purchaser's facility located in Bandra West, Mumbai, Maharashtra, India, and at designated home-visit locations within the Mumbai metropolitan region, India, as communicated in writing by the purchaser.
- Qualification Requirements: Every Midwife deployed under this Purchase Order must hold a valid registration with the Indian Nursing Council (INC) and the Maharashtra State Nursing Council. The Midwife must possess a General Nursing and Midwifery (GNM) or Diploma in General Nursing and Midwifery (DGM) degree from an INC-recognized institution in India. Additional certification in neonatal resuscitation (NRP) is mandatory for all Midwife personnel assigned to the Mumbai, India facility.
- Payment Terms: Payment for the Midwife services shall be made within 30 (thirty) days of receipt of a valid tax invoice from the supplier. Payment shall be processed via NEFT/RTGS to the supplier's designated bank account in Mumbai, India. The purchaser reserves the right to withhold payment for any Midwife service not rendered to the standards specified in this Purchase Order.
- Compliance with Indian Law: The supplier and all Midwife personnel shall comply with all applicable laws of India, including the Indian Nursing Council Act, 1965; the Maharashtra Public Health Act; the Maternity Benefit Act, 1961; and all municipal by-laws of the Brihanmumbai Municipal Corporation (BMC) governing healthcare operations in Mumbai, India.
- Insurance and Liability: The supplier shall maintain comprehensive professional indemnity insurance covering all Midwife personnel deployed in Mumbai, India, with a minimum coverage of INR 50,00,000 (Fifty Lakh Rupees) per incident. Any liability arising from the negligence or malpractice of a Midwife shall be borne by the supplier as per the terms of this Purchase Order.
- Confidentiality: All patient records, medical data, and personal information handled by the Midwife personnel in Mumbai, India, shall be treated as strictly confidential in accordance with the Indian Digital Personal Data Protection Act, 2023, and the purchaser's internal data privacy policies.
- Termination: Either party may terminate this Purchase Order with 30 (thirty) days' written notice. In the event of termination, the purchaser shall be liable only for Midwife services actually rendered up to the date of termination. The supplier shall ensure a smooth transition of all Midwife duties to avoid disruption of care at the Mumbai, India facility.
- Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall be resolved by arbitration in Mumbai, India, in accordance with the Arbitration and Conciliation Act, 1996 of India. The seat of arbitration shall be Mumbai, Maharashtra, India, and the proceedings shall be conducted in English.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated lockdowns in Mumbai, India, epidemics, or acts of war, as defined under Indian contract law.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of India, with specific reference to the commercial and healthcare regulations applicable in the state of Maharashtra and the city of Mumbai, India.
4. DELIVERY AND SERVICE SCHEDULE
The Midwife services shall commence on 01 July 2025 and continue on a monthly recurring basis as per the line items specified above. The supplier shall ensure that all Midwife personnel are present at the Mumbai, India facility no later than 30 minutes before the scheduled shift start time. Any absence or late arrival of a Midwife shall be reported to the purchaser's administration within 2 hours, and a replacement Midwife of equivalent qualification shall be deployed within 4 hours to maintain uninterrupted care in Mumbai, India.
