1. This Purchase Order constitutes a binding agreement between the Buyer and the Seller for the provision of Midwife services at the designated facility in New Delhi, India. Both parties agree to be bound by the terms stated herein and by the applicable laws of the Republic of India.
2. The Seller shall ensure that every Midwife deployed under this Purchase Order holds a current and valid registration certificate issued by the Indian Nursing Council. Copies of such certificates shall be submitted to the Buyer's Human Resources department prior to the commencement of duties.
3. The Midwife personnel shall adhere to the dress code, conduct policy, and clinical protocols established by Shri Ram Maternity & Women's Health Centre, New Delhi, India. Any deviation shall be subject to disciplinary action as per institutional policy.
4. The Seller shall maintain a minimum staffing ratio of one (1) Midwife per four (4) patients in the antenatal ward and one (1) Midwife per two (2) patients in the labour room at all times during operational hours.
5. Payment shall be processed via NEFT/RTGS to the Seller's designated bank account in New Delhi, India, within thirty (30) days of receipt of a valid tax invoice. Late payments shall attract interest at the rate of 12% per annum as per the Micro, Small and Medium Enterprises Development (MSMED) Act, 2006, if applicable.
6. The Seller shall indemnify the Buyer against any claims, losses, or liabilities arising from the negligence, malpractice, or professional misconduct of any Midwife engaged under this Purchase Order.
7. Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination, the Buyer shall be liable for Midwife services rendered up to the effective date of termination.
8. All disputes arising out of or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India.
9. The Seller shall comply with all data protection and patient confidentiality requirements as mandated under the Digital Personal Data Protection Act, 2023, and the institutional privacy policies of the Buyer in New Delhi, India.
10. This Purchase Order is valid for a period of twelve (12) months from the date of commencement, subject to mutual renewal in writing.
