All prices are quoted in Indonesian Rupiah (IDR) and are inclusive of the Midwife's professional fees, standard medical consumables, and transportation within the Indonesia Jakarta metropolitan area. Prices are valid for a period of 30 days from the date of this Purchase Order.
- Professional Licensure: The Midwife engaged under this Purchase Order must hold a valid STR (Surat Tanda Registrasi) issued by the Indonesian Health Professional Council (Konsil Kedokteran Indonesia) and a current professional license from the local Jakarta Health Office (Dinas Kesehatan DKI Jakarta). Proof of licensure must be submitted prior to the commencement of services.
- Service Location: All Midwife services shall be rendered at the buyer's primary facility located in South Jakarta, Indonesia Jakarta, and at designated community outreach sites within the Jakarta metropolitan area as specified in Schedule A of this Purchase Order.
- Payment Terms: Payment shall be made in monthly installments within 30 (thirty) calendar days from the date of invoice submission. Payment shall be processed via bank transfer to the supplier's designated account at Bank Mandiri, Indonesia Jakarta branch. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Indonesian commercial law.
- Performance Standards: The Midwife shall adhere to the clinical protocols established by the Indonesian Midwifery Association (IBI) and the national maternal health guidelines issued by the Ministry of Health. Any deviation from protocol must be documented and reported to the buyer's medical director within 24 hours.
- Confidentiality: The Midwife shall maintain strict confidentiality regarding all patient medical records in accordance with Indonesian Law No. 44 of 2009 on Medical Practice and the Personal Data Protection Law (UU PDP No. 27 of 2022). Patient data shall not be disclosed to any third party without written consent.
- Insurance and Liability: The supplier shall maintain professional liability insurance (asuransi tanggung jawab profesi) with a minimum coverage of IDR 5,000,000,000 per claim. The Midwife shall be covered under this policy for all services rendered under this Purchase Order in Indonesia Jakarta.
- Termination: Either party may terminate this Purchase Order with 60 (sixty) days' written notice. In the event of termination, the buyer shall compensate the supplier for all Midwife services rendered up to the effective date of termination. Termination for cause (including gross negligence or loss of professional license) may be executed with 14 (fourteen) days' notice.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising from this Purchase Order shall be resolved through mediation at the Jakarta Commercial Court (Pengadilan Niaga Jakarta Pusat) before proceeding to litigation.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated lockdowns in Indonesia Jakarta, or epidemics declared by the Ministry of Health.
The Midwife services under this Purchase Order shall commence on 1 July 2025 and shall continue on a rolling 12-month basis unless terminated in accordance with Clause 4.7. The Midwife shall be available for scheduled clinic hours (Monday through Saturday, 07:00–17:00 WIB) and shall maintain 24/7 on-call availability for obstetric emergencies at the Indonesia Jakarta facility. Community outreach visits shall be conducted on the first Saturday of each month at pre-arranged locations in East Jakarta and North Jakarta.
Important Note: This Purchase Order is subject to approval by the buyer's Finance Department and Legal Counsel. No Midwife services shall commence until a fully executed copy of this Purchase Order has been returned to the supplier. All parties acknowledge that this document constitutes a binding commercial agreement under Indonesian contract law (Kitab Undang-Undang Hukum Perdata / KUHPerdata).For and on behalf of the Buyer:
