- Scope of Midwife Services: All midwife personnel engaged under this Purchase Order must hold a valid license issued by the Iranian Ministry of Health and Medical Education. Each midwife must possess a minimum of three (3) years of clinical experience in maternal and neonatal care within Iran Tehran or equivalent metropolitan health facilities.
- Compliance with Iranian Regulations: The Supplier shall ensure that all midwife services are delivered in strict compliance with the laws and regulations of the Islamic Republic of Iran, including but not limited to the Iranian Labor Code, the Maternal Health Protection Act, and all applicable municipal health ordinances governing the city of Iran Tehran.
- Quality Assurance: The Senior Midwife Supervisor shall conduct weekly quality audits of all midwife clinical interventions. Monthly performance reports shall be submitted to the Tehran Metropolitan Maternal Health Authority. Any midwife failing to meet the established clinical competency benchmarks shall be replaced within fourteen (14) calendar days at no additional cost to the Purchaser.
- Payment Schedule: Invoices for midwife services shall be submitted on the last working day of each calendar month. Payment shall be processed within thirty (30) days of invoice receipt via bank transfer to the Supplier's designated account in Iran Tehran. Late payments shall accrue interest at the rate prescribed by the Central Bank of Iran.
- Insurance and Liability: The Supplier shall maintain comprehensive professional liability insurance covering all midwife personnel for the duration of this Purchase Order. The minimum coverage shall be equivalent to 500,000,000 IRR per midwife per incident. Certificates of insurance shall be provided to the Purchaser prior to the commencement of services.
- Confidentiality: All patient records, clinical data, and personal information handled by the midwife team shall be treated as strictly confidential in accordance with Iranian data protection regulations. No information pertaining to patients of the Tehran Public Maternity Hospital shall be disclosed to any third party without written consent.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach by the Supplier, the Purchaser may terminate immediately upon written notice. Upon termination, all midwife personnel shall be transitioned out in an orderly manner to ensure continuity of maternal care in Iran Tehran.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to the competent courts of Iran Tehran for adjudication under the laws of the Islamic Republic of Iran.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting Iran Tehran.
