4.1 This Purchase Order constitutes a binding agreement between Galil Maternity Care Center Ltd. (hereinafter "the Buyer") and Orla Ben-Ami, Certified Midwife (hereinafter "the Midwife Provider"), for the delivery of midwifery services within the Israel Tel Aviv metropolitan area.

4.2 The Midwife Provider shall maintain all required professional licenses, malpractice insurance (minimum coverage of ILS 5,000,000), and continuing education certifications as mandated by the State of Israel throughout the duration of this Purchase Order.

4.3 All services shall be performed in full compliance with Israeli medical law, the Patient's Rights Law (5756-1996), and the regulations of the Israel Midwives Association. The Midwife shall adhere to the ethical code of practice established for midwifery professionals in Israel Tel Aviv and the broader national framework.

4.6 In the event of service cancellation by the Buyer with fewer than fourteen (14) days' written notice, a cancellation fee of 25% of the remaining contract value shall apply. Cancellation by the Midwife Provider without just cause shall entitle the Buyer to a full refund of all pre-paid amounts.

4.7 This Purchase Order is governed by the laws of the State of Israel. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv, Israel.

All clinical services under this Purchase Order shall be delivered at the following locations in Israel Tel Aviv: (a) Ben-Ami Midwifery & Perinatal Care, 28 Allenby Boulevard, Tel Aviv; (b) Galil Maternity Care Center, 142 Dizengoff Street, Tel Aviv; and (c) designated patient residences within the Tel Aviv-Yafo municipal boundaries for postnatal home visits. The Midwife shall ensure that all equipment, medical supplies, and documentation are transported and maintained in accordance with Israeli health and safety regulations.
