1. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this Purchase Order for Midwife services in Naples, Italy, shall be subject to the exclusive jurisdiction of the competent courts of Naples (Tribunale di Napoli), Italy.
2. Professional Qualification: The contracted Midwife, Sig.ra Lucia De Santis, warrants that she holds a valid professional registration with the Ordine dei Tecnici Sanitari of the Campania region and maintains full professional liability insurance (RC professionale) with a minimum coverage of EUR 1,000,000 per claim, valid throughout the duration of this Purchase Order.
3. Service Location: All services described herein shall be rendered within the administrative boundaries of the city of Naples (Napoli), Campania, Italy, and its immediate metropolitan zone as defined by ASL Napoli 1 Centro. The Midwife shall be available at the designated facilities in Naples, Italy, during the agreed service hours and on-call periods.
4. Payment Terms: Payment shall be made within 30 (thirty) calendar days from the date of receipt of a valid invoice (fattura elettronica) issued in accordance with Italian electronic invoicing regulations (SdI — Sistema di Interscambio). Payment shall be executed via bank transfer (bonifico bancario) to the IBAN specified on the Midwife's invoice. Late payments shall accrue interest at the rate established by Italian law (D.Lgs. 231/2002).
5. Termination: Either party may terminate this Purchase Order with a written notice of 30 (thirty) days. In the event of termination, the Midwife shall be compensated for all services rendered up to the effective date of termination. ASL Napoli 1 Centro reserves the right to terminate immediately in cases of professional misconduct, loss of professional registration, or breach of patient confidentiality obligations under Italian law.
6. Confidentiality and Data Protection: The Midwife shall comply with all applicable Italian and European data protection regulations, including Regulation (EU) 2016/679 (GDPR) and D.Lgs. 196/2003 as amended.
