This Purchase Order is issued to procure the professional services of a certified Midwife (Ostetrica) for the Maternity and Neonatal Department of Ospedale Santa Maria della Misericordia, located in Rome, Italy. 5.1 Service Location: All midwifery services under this Purchase Order shall be performed exclusively within the city of Rome, Italy, or at pre-approved locations within the Province of Rome (Provincia di Roma) as designated by the Purchasing Entity. The Midwife must maintain a valid professional registration with the Ordine delle Ostetriche della Provincia di Roma throughout the contract period.
5.2 Payment Terms: Payment shall be made within 30 (thirty) calendar days from the date of receipt of a valid invoice (fattura elettronica) issued in accordance with Italian electronic invoicing regulations (SdI – Sistema di Interscambio). Invoices must reference this Purchase Order number (IT-ROM-2025-04871) and include the supplier's P.IVA.
5.3 Service Period: The midwifery services covered by this Purchase Order are valid from 1 July 2025 through 30 June 2026, unless terminated earlier in accordance with the contractual provisions governing healthcare service procurement in Italy.
5.4 Quality and Compliance: The Midwife shall adhere to all applicable Italian national and regional healthcare standards, including those issued by the Istituto Superiore di Sanità (ISS) and the Regione Lazio. The Midwife must maintain a minimum of 50 ECM (Educazione Continua in Medicina) credits per biennium and submit proof of compliance upon request.
5.5 Confidentiality and Data Protection: All patient data handled by the Midwife in the course of providing services in Rome, Italy, shall be processed in strict compliance with the GDPR (Regulation (EU) 2016/679) and the Italian Data Protection Code (D.Lgs. 196/2003 as amended by D.Lgs. 101/2018). A Data Processing Agreement (DPA) is attached as Annex B to this Purchase Order.
5.6 Termination: Either party may terminate this Purchase Order with 60 (sixty) days' written notice. In the event of termination, the Midwife shall ensure a minimum 30-day transition period to guarantee continuity of care for all patients currently under midwifery management at the Rome facility.
5.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Rome, Italy.
NOTE: This Purchase Order is subject to the approval of the Hospital's Economic-Administrative Committee (Comitato Economico-Amministrativo) and the final authorization of the ASL Roma 1 (Local Health Authority) before the midwifery services commence. The Midwife must present a valid health clearance (idoneità sanitaria) and a clean criminal record certificate (casellario giudiziale) prior to the first day of service delivery in Rome.For the Purchasing Entity (Buyer):
