• Secondary Facility: Almaty Regional Obstetric Hospital, 55 Satpayev Street, Almaty 050000, Kazakhstan.
• Home Visits: Postnatal and lactation support visits shall be conducted at the patient's residential address within the administrative boundaries of Almaty city, Kazakhstan.

The Midwife shall be physically present and available at the designated service location in Kazakhstan Almaty no later than the Required Service Date stated above. Any relocation of service delivery within the Almaty metropolitan area shall be communicated in writing at least forty-eight (48) hours in advance.

1. Acceptance: This Purchase Order becomes a binding contract upon written acceptance by the Vendor. The Vendor shall return a signed copy of this Purchase Order within five (5) business days of receipt.
2. Midwife Qualifications: The Vendor warrants that the Midwife assigned to fulfill this Purchase Order holds all requisite certifications, licenses, and professional registrations valid in the Republic of Kazakhstan. A copy of the Midwife's license and professional credentials shall be attached as Appendix A to this Purchase Order.
3. Insurance: The Vendor shall maintain professional liability insurance with a minimum coverage of 10,000,000 KZT, valid throughout the duration of this Purchase Order, covering all Midwife services performed in Kazakhstan Almaty.
4. Payment Schedule: Payment shall be made within thirty (30) calendar days from the date of invoice receipt. Invoices shall be submitted in Kazakhstani Tenge (KZT) and must reference this Purchase Order number (PO-2025-KZ-04782).
5. Confidentiality: The Midwife and all personnel associated with the Vendor shall adhere to the data protection provisions of the Law of the Republic of Kazakhstan "On Personal Data and Its Protection." All patient records generated during the provision of Midwife services in Kazakhstan Almaty shall be stored in compliance with national health information regulations.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Vendor shall be compensated for all Midwife services rendered up to the effective date of termination.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the Republic of Kazakhstan. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Almaty city, Kazakhstan.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, epidemics, or government-mandated restrictions affecting healthcare service delivery in Kazakhstan Almaty.
