- Acceptance: This Purchase Order shall become binding upon written acceptance by the Supplier within five (5) business days of the date of issue. The Supplier acknowledges that this Purchase Order is issued under the Public Procurement and Asset Disposal Act, 2015, as applicable in Kenya Nairobi.
- Midwife Qualifications: The Midwife or Midwives engaged under this Purchase Order must hold a valid registration with the Nursing and Midwifery Council of Kenya (NMCK) and possess a minimum of three (3) years of post-qualification clinical experience in obstetric and neonatal care. All Midwife credentials must be verified prior to deployment in any Kenya Nairobi health facility.
- Delivery and Deployment: All services and materials specified in this Purchase Order shall be delivered and the Midwife personnel deployed to the designated Kenya Nairobi locations within thirty (30) calendar days of the Purchase Order acceptance date. The Supplier shall bear all costs associated with transportation within Nairobi County.
- Payment Terms: Payment shall be made in three (3) equal instalments: 40% upon acceptance of this Purchase Order, 30% upon successful deployment of the Midwife and delivery of all equipment, and 30% upon completion of the 12-month service period, subject to satisfactory performance review by the Nairobi County Health Services Directorate.
- Performance Standards: The Midwife shall adhere to the Kenya Standard Treatment Guidelines for Maternal and Newborn Health and the Ministry of Health protocols in force in Kenya Nairobi at the time of service delivery. Failure to meet clinical performance benchmarks may result in termination of this Purchase Order with or without penalty as determined by the Directorate.
- Confidentiality: The Supplier and the engaged Midwife shall maintain strict confidentiality of all patient records and health data in accordance with the Kenya Data Protection Act, 2019. No patient information from any Kenya Nairobi facility shall be disclosed to third parties.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Nairobi, Kenya, in accordance with the laws of the Republic of Kenya. The jurisdiction of the courts of Kenya Nairobi shall be exclusive.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, epidemics, or government-mandated closures affecting Kenya Nairobi.
