2. TERMS AND CONDITIONS- Scope of Work: The Midwife engaged under this Purchase Order shall perform all duties consistent with the scope of practice defined by the Kuwaiti Health Professions Council. The Midwife shall report directly to the Head of Maternal Services at the Al-Amiri Maternity Center in Kuwait Kuwait City and shall adhere to all institutional protocols and patient care standards.
- Contract Duration: This Purchase Order covers a period of twelve (12) months commencing on 01 July 2025 and concluding on 30 June 2026, unless renewed or terminated in writing by either party with a minimum of sixty (60) days' prior notice.
- Payment Schedule: Payment for the Midwife's professional services and associated costs shall be made on a monthly basis within thirty (30) days of receipt of a valid invoice from the service provider. All payments shall be processed through the Ministry of Health's centralized procurement and finance system in Kuwait Kuwait City.
- Compliance and Licensing: The Midwife must hold a valid license issued by the Kuwaiti Health Professions Council and must maintain all required certifications throughout the duration of this Purchase Order. The service provider shall bear full responsibility for ensuring the Midwife's credentials remain current and compliant with Kuwaiti regulatory requirements.
- Confidentiality: All patient information handled by the Midwife in the course of providing services under this Purchase Order shall be treated as strictly confidential in accordance with Kuwaiti data protection laws and the Ministry of Health's internal privacy policies.
- Termination: Either party may terminate this Purchase Order in the event of material breach, provided that written notice is delivered to the other party. In the event of termination, all outstanding payments for services rendered up to the date of termination shall be settled within thirty (30) days.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Kuwait. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Kuwait Kuwait City.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting Kuwait Kuwait City.
This Purchase Order is issued under the authority of the Ministry of Health, Republic of Kuwait, and constitutes a binding procurement instrument for the engagement of Midwife professional services in Kuwait Kuwait City. By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this document.
