2. SCOPE OF PURCHASE ORDER

This Purchase Order is issued by Kuala Lumpur Maternal Care Centre Sdn. Bhd. to procure professional Midwife services for the provision of antenatal care, intrapartum support, and postnatal follow-up services to be delivered at the facility located in Malaysia Kuala Lumpur. This document serves as a formal binding agreement between both parties for the engagement of qualified and registered Midwife professionals in accordance with the standards set by the Malaysian Nursing Board (MNB) and the Ministry of Health Malaysia (MOH).

4. TERMS AND CONDITIONS
  1. Qualification Requirement: All Midwife professionals engaged under this Purchase Order must hold a valid registration with the Malaysian Nursing Board (MNB) and possess a minimum of three (3) years of clinical experience in obstetric and gynaecological care within Malaysia Kuala Lumpur or other recognised Malaysian healthcare facilities.
  2. Service Delivery Location: All services specified in this Purchase Order shall be rendered at the Kuala Lumpur Maternal Care Centre premises located in Malaysia Kuala Lumpur, unless otherwise stated for home visit services within the Kuala Lumpur metropolitan district.
  3. Payment Terms: Payment shall be made within thirty (30) days from the date of invoice submission. The total Purchase Order value of MYR 149,142.00 shall be disbursed in quarterly instalments of MYR 37,285.50, subject to satisfactory service delivery reports.
  4. Service Standards: The Midwife services must comply with the Clinical Practice Guidelines issued by the Ministry of Health Malaysia and the standards of the Malaysian College of Obstetrics and Gynaecology. All Midwife practitioners must adhere to the Code of Ethics for Nurses and Midwives in Malaysia.
  5. Insurance and Liability: The Supplier shall maintain professional indemnity insurance with a minimum coverage of MYR 1,000,000 for all Midwife personnel engaged under this Purchase Order. Any claims arising from negligence or malpractice shall be the sole responsibility of the Supplier.
  6. Confidentiality: Both parties agree to maintain strict confidentiality regarding patient records, medical data, and all proprietary information exchanged in connection with this Purchase Order for Midwife services in Malaysia Kuala Lumpur.
  7. Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination, the Purchaser shall be liable for all Midwife services rendered up to the date of termination.
  8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Malaysia Kuala Lumpur in accordance with the Arbitration Act 2005 of Malaysia. The governing law shall be the laws of Malaysia.
  9. Force Majeure: Neither party shall be held liable for failure to perform obligations under this Purchase Order due to acts of God, government regulations, pandemics, or other events beyond reasonable control affecting service delivery in Malaysia Kuala Lumpur.
  10. Amendments: Any amendments or modifications to this Purchase Order for Midwife services must be made in writing and signed by authorised representatives of both parties.
5. DELIVERY AND SCHEDULE

The Midwife services outlined in this Purchase Order shall commence on 1 July 2025 and continue on a rolling quarterly basis for a period of twelve (12) months, subject to renewal. The Supplier shall ensure that a minimum of six (6) registered Midwife professionals are available on a rotational basis at the Malaysia Kuala Lumpur facility at all times to meet the demand for antenatal, intrapartum, and postnatal care services.
