This Purchase Order is issued by Atlas Maternal Health Services SARL to procure the professional services of a certified Midwife for the provision of comprehensive prenatal, intrapartum, and postnatal care to expectant mothers registered with our facility in Morocco Casablanca. - Service Location: All services under this Purchase Order shall be rendered at the Clinique Naissance Royale facility located in Maârif, Casablanca, Morocco, or at the patient's residence within the Casablanca urban perimeter as pre-authorized in writing by the purchasing party.
- Midwife Qualifications: The assigned Midwife must hold a valid Diplôme d'État de Sage-Femme issued by a recognized Moroccan institution, maintain active registration with the Ordre National des Sages-Femmes du Maroc, and carry professional liability insurance with a minimum coverage of 5,000,000 MAD. A copy of the professional license and insurance certificate must be submitted prior to the commencement of services.
- Compliance with Moroccan Law: The Midwife and the service provider shall adhere to all provisions of the Moroccan Code de la Santé Publique, the regulations of the Ministry of Health regarding midwifery practice in Casablanca, and the data protection requirements under Law 09-08 relating to personal health information.
- Payment Schedule: Payment shall be made within thirty (30) calendar days from the date of invoice receipt. Payment shall be processed via bank transfer to the vendor's account at Attijariwafa Bank, Casablanca branch. The vendor shall issue a compliant Moroccan fiscal invoice (facture) bearing the ICE number, VAT registration, and all mandatory legal references.
- Service Standards: The Midwife shall provide care in accordance with the evidence-based protocols established by the Moroccan Ministry of Health for maternal and neonatal care. All clinical documentation, including prenatal records, delivery notes, and postnatal assessments, shall be completed in both Arabic and French and filed in the patient's medical record at the Casablanca facility.
- Cancellation and Modification: Either party may cancel or modify this Purchase Order with a minimum of seven (7) days' written notice. Cancellation of intrapartum services after the onset of active labour shall not be permitted except in cases of medical contraindication documented by the attending physician.
- Confidentiality: The Midwife and all personnel involved in the delivery of services under this Purchase Order shall maintain strict confidentiality regarding all patient information in accordance with Moroccan medical ethics and the professional code of conduct for midwives in Morocco.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the competent commercial courts of Casablanca, Morocco, in accordance with Moroccan civil and commercial law.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, epidemics, government-mandated closures, or civil unrest affecting the Casablanca region.
