This Purchase Order is issued by the Yangon Regional Maternal Health Authority to procure the professional services of a qualified Midwife for the provision of antenatal, intrapartum, and postnatal care within the Myanmar Yangon metropolitan area. - Scope of Engagement: The Midwife services described in this Purchase Order shall be delivered exclusively within the administrative boundaries of Myanmar Yangon, including all townships under the jurisdiction of the Yangon Regional Government. The Midwife shall not be redeployed to other regions without prior written amendment to this Purchase Order.
- Qualification Requirements: The Midwife assigned under this Purchase Order must hold a Bachelor of Science in Midwifery (BSM) or equivalent qualification recognized by the Myanmar Nursing and Midwifery Council, a valid annual practice license, and a minimum of eight (8) years of documented clinical experience in obstetric and neonatal care in Myanmar Yangon or equivalent settings.
- Payment Terms: Payment shall be made in Myanmar Kyat (MMK) via bank transfer to the account designated by the Supplier. Invoices shall be submitted monthly by the 5th of the following month. Payment is due within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Myanmar commercial law.
- Performance Standards: The Midwife shall adhere to the clinical protocols established by the Yangon Regional Maternal Health Authority and the Myanmar Ministry of Health. Key performance indicators include: antenatal visit completion rate of 95% or higher, reduction in maternal and neonatal morbidity by 10% over the contract period, and patient satisfaction scores of 85% or above as measured by quarterly surveys conducted in Myanmar Yangon.
- Confidentiality and Data Protection: The Midwife and all associated personnel shall comply with the Myanmar Data Protection Law (2023) and shall maintain strict confidentiality of all patient records. No patient information collected during the delivery of services under this Purchase Order shall be disclosed to third parties without written consent.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of material breach, termination may be effected with fourteen (14) days notice. Upon termination, the Supplier shall complete all in-progress Midwife care plans for patients in Myanmar Yangon within a reasonable transition period not exceeding thirty (30) days.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the Myanmar Arbitration Law, with the seat of arbitration in Myanmar Yangon.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Union of Myanmar, including all applicable regulations pertaining to healthcare service procurement in Myanmar Yangon.
The Midwife services under this Purchase Order shall commence on 1 August 2025 and shall continue for a period of twelve (12) months, concluding on 31 July 2026, unless extended by mutual written agreement. The Supplier shall ensure that the designated Midwife is fully onboarded, has completed all necessary orientation with the Yangon Regional Maternal Health Authority, and has access to all required clinical facilities in Myanmar Yangon no later than 28 July 2025.
This Purchase Order constitutes a formal request for the Midwife services as described herein. Acceptance of this Purchase Order by the Supplier shall be deemed by the Supplier's written acknowledgment within ten (10) business days of the date of issue. Failure to acknowledge within this period shall render this Purchase Order null and void.
