  1. Validity: This Purchase Order is valid for a period of twelve (12) months from the date of acceptance, commencing on 01 July 2025 and concluding on 30 June 2026, unless renewed in writing by both parties.
  2. Payment Terms: Payment for the Midwife services shall be made on a monthly basis within fifteen (15) calendar days of the end of each service month. Payment shall be processed via bank transfer to the account specified in Section 2. All payments are subject to submission of a valid invoice and service completion report.
  3. Professional Standards: The Midwife shall adhere to all clinical protocols, ethical guidelines, and regulatory requirements established by the Nepal Midwives Association and the Department of Health Services, Government of Nepal. All services rendered in Nepal Kathmandu must comply with the National Health Policy of Nepal.
  4. Confidentiality: The Midwife shall maintain strict confidentiality regarding all patient information in accordance with Nepal's data protection regulations. No patient records from the Nepal Kathmandu facility shall be disclosed to any third party without written consent.
  5. Insurance and Liability: The Midwife shall maintain valid professional indemnity insurance throughout the term of this Purchase Order. The purchasing entity shall not be held liable for any malpractice or negligence beyond the scope of standard care.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of serious professional misconduct, the purchasing entity reserves the right to terminate immediately without notice.
  7. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Nepal Kathmandu. If mediation fails, the matter shall be referred to the competent court of law in Kathmandu, Bagmati Province, Nepal.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Nepal, including the Contract Act, 2056 (1999) and applicable health service regulations in Nepal Kathmandu.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations due to natural disasters, government mandates, or other events beyond reasonable control, as commonly recognized in Nepal Kathmandu commercial practice.

By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for Midwife professional services in Nepal Kathmandu. This document constitutes a binding agreement between the purchasing entity and the Midwife service provider.
