This Purchase Order is issued by the Amsterdam Maternity & Family Care Foundation to procure comprehensive Midwife professional services to be delivered within the municipality of Netherlands Amsterdam. The contracted Midwife and associated midwifery team shall provide full-spectrum antenatal, intrapartum, and postnatal care in accordance with the Dutch Midwifery Association (NVOV) standards and the national healthcare regulations of the Netherlands. All services referenced in this Purchase Order shall be performed by a registered Midwife holding a valid license issued by the Dutch Council for Midwifery (Raad voor de Gezondheidsberijfsregulering) and shall be conducted at the supplier's facility located in Amsterdam, Netherlands, or at the patient's residence within the Amsterdam metropolitan area as clinically indicated.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Netherlands. All disputes arising from this Purchase Order relating to Midwife services in Netherlands Amsterdam shall be subject to the exclusive jurisdiction of the District Court of Amsterdam.
- Payment Terms: The Purchasing Party shall remit payment within 30 calendar days of the invoice date. Payment shall be made via bank transfer to the supplier's designated account in the Netherlands. A 1.5% monthly late-payment interest rate shall apply to overdue amounts as per Dutch commercial law.
- Service Delivery: The Midwife and the midwifery team shall commence antenatal services no later than the Delivery Date specified above. All Midwife consultations shall be conducted at the supplier's registered practice in Amsterdam, Netherlands, or at the patient's home address within the Amsterdam municipal boundary, unless otherwise agreed in writing.
- Professional Standards: The contracted Midwife shall maintain full professional registration with the Dutch Midwifery Association (NVOV) and shall adhere to the NVOV Code of Conduct, the Dutch Medical Treatment Act (Wet medisch treatment), and all applicable healthcare regulations of the Netherlands. The Midwife shall carry professional liability insurance with a minimum coverage of EUR 1,000,000 per claim.
- Confidentiality & Data Protection: All patient data collected by the Midwife during the course of service delivery in Netherlands Amsterdam shall be handled in strict compliance with the General Data Protection Regulation (GDPR) and the Dutch Implementation Act (UAVG). No patient information shall be disclosed to third parties without explicit written consent.
- Cancellation & Termination: Either party may terminate this Purchase Order with 14 days' written notice. In the event of cancellation after the commencement of antenatal Midwife services, the Purchasing Party shall be liable for services already rendered up to the date of termination, as documented by the Midwife's care records.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting healthcare services in the Netherlands Amsterdam region.
- Warranty of Service: The supplier warrants that all Midwife services described in this Purchase Order shall be performed with the degree of skill, care, and diligence expected of a reasonably competent Midwife practising in the Netherlands. Any deviation from the agreed scope of Midwife care shall be documented and communicated to the Purchasing Party within 48 hours.
- Amendments: Any modification to this Purchase Order, including changes to the Midwife service schedule, additional postnatal visits, or reassignment of the primary Midwife, must be documented in a written amendment signed by both parties.
