This Purchase Order is issued by the Lagos Maternal & Child Health Foundation to formally engage the services of a qualified Midwife for the provision of comprehensive maternal and neonatal care services within the Nigeria Lagos metropolitan area. The engagement of this Midwife is in accordance with the Foundation's annual procurement plan for 2025 and complies with the regulatory standards set by the Nursing and Midwifery Council of Nigeria (NMC) and the Lagos State Ministry of Health.

The Midwife engaged under this Purchase Order must hold a valid registration with the Nursing and Midwifery Council of Nigeria and possess a minimum of five (5) years of post-qualification clinical experience in obstetric and neonatal care. The Midwife shall operate exclusively within the Nigeria Lagos jurisdiction and must demonstrate familiarity with the Lagos State Emergency Obstetric Care (EmOC) protocols. All services rendered by the Midwife shall be documented in the Foundation's electronic health records system and must comply with the National Health Act 2014 and the Lagos State Health Law.
5. Terms and Conditions- Acceptance: This Purchase Order shall become binding upon written acceptance by the Midwife (or her authorized representative) within seven (7) calendar days of the date of issue. Failure to accept within this period shall render this Purchase Order null and void.
- Performance Period: The Midwife shall commence services on 1 July 2025 and shall continue to render services for a period of twelve (12) months, subject to satisfactory performance reviews conducted quarterly by the Foundation's Clinical Governance Committee in Nigeria Lagos.
- Payment Schedule: Payment for services rendered by the Midwife shall be made on a monthly basis, within thirty (30) days of receipt of an itemized invoice. All payments shall be made in Nigerian Naira (NGN) via bank transfer to the account designated by the Midwife.
- Insurance and Liability: The Midwife shall maintain a valid professional indemnity insurance policy with a minimum coverage of NGN 50,000,000 for the duration of this Purchase Order. The Foundation shall not be liable for any claims arising from the Midwife's professional negligence.
- Confidentiality: The Midwife shall treat all patient information, clinical records, and operational data of the Foundation as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. The Foundation reserves the right to terminate immediately in the event of gross professional misconduct, loss of NMC registration, or breach of any material term by the Midwife.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from this Purchase Order shall be resolved through arbitration in Nigeria Lagos in accordance with the Arbitration and Conciliation Act, Cap A18, LFN 2004.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to epidemics, government-imposed lockdowns in Nigeria Lagos, or natural disasters.
- Compliance: The Midwife warrants that all services provided under this Purchase Order shall comply with the standards of the Nursing and Midwifery Council of Nigeria, the Lagos State Ministry of Health directives, and all applicable federal and state regulations in Nigeria Lagos.
By signing below, the parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Midwife in Nigeria Lagos.
