- Scope of Engagement: The Midwife shall render all professional services exclusively at the designated facility in Lima, Peru, unless prior written authorization is granted by the Buyer for community outreach activities within the Lima metropolitan region.
- Professional Qualifications: The Midwife must hold a valid professional license issued by the Colegio de Matronas del Perú, a current RUC registration, and a minimum of five (5) years of clinical experience in obstetric care. All credentials must be verified prior to the commencement of services under this Purchase Order.
- Compliance with Peruvian Law: All services rendered under this Purchase Order shall comply with the Peruvian Health Code (Código de los Derechos de la Persona), Law No. 27907 (Law of the Health System), and all applicable regulations of the Ministry of Health of Peru. The Midwife shall adhere to the ethical code of the Colegio de Matronas del Perú.
- Payment Terms: Payment shall be made in Peruvian Soles (PEN) within fifteen (15) calendar days following the receipt of a valid invoice (Factura) and the corresponding payment request (Solicitud de Pago). Payment shall be processed via bank transfer to the account registered under the Midwife's RUC. The total value of this Purchase Order is S/ 15,800.00 (Quince mil ochocientos con 00/100 Soles) per month of service.
- Contract Duration: This Purchase Order is valid for a period of twelve (12) months from the date of acceptance, subject to annual performance review. Either party may terminate the agreement with thirty (30) days' written notice.
- Insurance and Liability: The Midwife shall maintain professional liability insurance (Seguro de Responsabilidad Civil Profesional) with a minimum coverage of S/ 100,000.00, valid throughout the term of this Purchase Order in Lima, Peru.
- Confidentiality: All patient information handled by the Midwife shall be treated as strictly confidential in accordance with Peruvian data protection law (Law No. 29733 — Ley de Protección de Datos Personales). Breach of confidentiality shall constitute grounds for immediate termination of this Purchase Order.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through the competent courts of the Judicial District of Lima, Peru. Both parties agree to attempt mediation through the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Lima prior to initiating litigation.
- Tax Obligations: The Midwife shall be responsible for all applicable taxes, including Impuesto a la Renta (Income Tax) and any municipal taxes applicable in the Lima metropolitan area. The Buyer shall withhold applicable taxes as mandated by the Superintendencia Nacional de Aduanas y de Administración Tributaria (SUNAT).
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, public health emergencies declared by the Ministry of Health of Peru, or government-mandated closures in Lima, Peru.

This Purchase Order constitutes a binding procurement document under the Peruvian public procurement framework (Ley de Contrataciones del Estado, Ley No. 30225) where applicable, or under private commercial law (Código Civil del Perú) for private-sector engagements. All communications related to this Purchase Order shall be directed to the addresses specified in Section 2.
