5. TERMS AND CONDITIONS
  1. Scope of Midwife Services: The contracted Midwife shall provide all obstetric and neonatal services in strict accordance with the clinical guidelines issued by the Ministry of Health of the Russian Federation and the operational protocols of the Moscow City Department of Health. All services shall be delivered at the Moscow Maternal and Child Health Center premises unless otherwise authorized in writing by the Chief Medical Officer.
  2. Licensing and Qualification: The Service Provider guarantees that the assigned Midwife holds a current, unexpired state certificate in midwifery issued under the regulations of the Russian Federation. The Midwife must maintain mandatory professional liability insurance with a minimum coverage of 5,000,000 RUB throughout the contract term. Failure to maintain valid licensing in Moscow shall constitute an immediate material breach of this Purchase Order.
  3. Payment Terms: Payment shall be made in monthly installments within fifteen (15) business days of receipt of a valid invoice from the Service Provider. All payments shall be transferred via bank wire to the account of Moscow Midwife Professional Services LLC held at Sberbank, Moscow branch, in Russian Rubles. Late payments shall accrue interest at the rate of 0.1% per calendar day as stipulated by Article 317.1 of the Civil Code of the Russian Federation.
  4. Performance Standards: The Midwife shall maintain a minimum patient satisfaction rating of 90% as measured by quarterly surveys conducted by the Moscow facility. The Midwife shall attend all scheduled staff meetings, emergency drills, and interdepartmental consultations at the Moscow Maternal and Child Health Center.
  5. Confidentiality and Data Protection: All patient medical records and personal data handled by the Midwife in Moscow shall be processed in full compliance with Federal Law No. 152-FZ "On Personal Data" of the Russian Federation. The Service Provider shall execute a separate data processing agreement prior to the commencement of services.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. The Purchasing Entity may terminate immediately without notice in the event of the Midwife's loss of professional license, gross negligence, or violation of Russian healthcare regulations. Upon termination, all outstanding invoices for services rendered up to the termination date shall be settled within thirty (30) days.
  7. Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to mandatory mediation in Moscow. Should mediation fail, disputes shall be referred to the Arbitration Court of the City of Moscow, Russian Federation, in accordance with the applicable procedural rules.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from force majeure events as defined under Article 416 of the Civil Code of the Russian Federation, including but not limited to natural disasters, government-mandated closures in Moscow, or public health emergencies declared by the Russian Federation.
6. AUTHORIZATION AND SIGNATURES

This Purchase Order is executed in two (2) original copies, one for each party, both having equal legal force under the laws of the Russian Federation. By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this document for the procurement of Midwife services in Moscow, Russia.
