This Purchase Order authorizes the procurement of Midwife services for Al-Nour Maternity & Women's Health Center, located in Jeddah, Saudi Arabia. The Midwife(s) engaged under this Purchase Order shall perform the following duties within the facility:
- Provide comprehensive antenatal, intrapartum, and postnatal care to expectant mothers in accordance with the Ministry of Health (MOH) Saudi Arabia clinical guidelines.
- Conduct routine prenatal check-ups, fetal monitoring, and risk assessments for pregnant women in the Jeddah community.
- Assist in normal vaginal deliveries and provide immediate neonatal care under the supervision of the attending obstetrician.
- Administer breastfeeding support, newborn screening, and postpartum follow-up services.
- Maintain accurate patient records in the hospital's electronic health system and comply with all data privacy regulations of Saudi Arabia.
- Participate in multidisciplinary team meetings, quality improvement initiatives, and emergency response drills at the facility.
- Adhere to all professional standards set by the Saudi Commission for Health Specialties (SCFHS) and the Saudi Midwives Association.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Jeddah, Saudi Arabia.
- Compliance: The supplier shall ensure that the Midwife meets all licensing, visa, and medical fitness requirements mandated by the Saudi Ministry of Health and the Saudi Commission for Health Specialties before commencing duties in Saudi Arabia Jeddah.
- Payment Schedule: Payment shall be made in two installments: 50% upon successful placement and commencement of duties by the Midwife, and the remaining 50% upon completion of the 30-day probationary period, subject to satisfactory performance evaluation.
- Warranty and Replacement: In the event that the Midwife fails to meet the qualifications specified in this Purchase Order or is unable to obtain the required SCFHS license within 90 days, the supplier shall provide a replacement Midwife at no additional cost to the issuing entity.
- Confidentiality: All parties agree to maintain strict confidentiality regarding patient information, employee records, and the financial terms of this Purchase Order in accordance with Saudi data protection regulations.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, all Midwife-related obligations shall be fulfilled in accordance with Saudi labor law (Labor Law, Royal Decree No. M/51).
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies in Saudi Arabia.
- Anti-Bribery: The supplier warrants that no part of the consideration under this Purchase Order has been or will be offered as a bribe or kickback in violation of Saudi anti-corruption laws.
The Midwife(s) shall report for duty at Al-Nour Maternity & Women's Health Center, King Fahd Road, Al-Shati District, Jeddah 23412, Saudi Arabia, no later than 01 August 2025. Acceptance of the Midwife's services shall be confirmed in writing by the Chief Medical Officer of the facility within 5 business days of the Midwife's first day of active clinical duty. Failure to issue a written objection within this period shall constitute deemed acceptance.
