4. Scope of Purchase – Midwife Services

This Purchase Order is issued by Riyadh Maternal & Child Health Center to procure the professional services of a qualified Midwife to be deployed at the facility located in Saudi Arabia, Riyadh. The Midwife shall provide comprehensive maternal and neonatal care services in accordance with the standards set by the Saudi Commission for Health Specialties (SCFHS) and the Ministry of Health of the Kingdom of Saudi Arabia. 6. Terms and Conditions

  1. The Midwife engaged under this Purchase Order must hold a valid license issued by the Saudi Commission for Health Specialties (SCFHS) and a current practice registration with the Ministry of Health of the Kingdom of Saudi Arabia.
  2. All services shall be rendered at the Riyadh Maternal & Child Health Center premises in Riyadh, Saudi Arabia, unless otherwise agreed in writing for community outreach activities within the Riyadh city limits.
  3. The Midwife shall comply with all applicable Saudi Arabian labor laws, including the Working in the Private Sector Law, and shall adhere to the facility's code of conduct, confidentiality policies, and patient safety protocols.
  4. The supplier shall provide a replacement Midwife of equivalent or superior qualifications within five (5) business days should the originally assigned Midwife be unable to continue service due to illness, resignation, or other unforeseen circumstances.
  5. Payment shall be made via bank transfer to the supplier's designated account in Saudi Arabia within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month as stipulated under Saudi commercial law.
  6. This Purchase Order is subject to the 15% Value Added Tax (VAT) as mandated by the Zakat, Tax and Customs Authority (ZATCA) of Saudi Arabia. All invoices must include the supplier's VAT registration number.
  7. The supplier warrants that the Midwife shall maintain all required professional indemnity insurance coverage throughout the duration of this Purchase Order, with a minimum coverage of SAR 500,000 per claim.
  8. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall be liable for services rendered up to the effective date of termination.
  9. All disputes arising from this Purchase Order shall be resolved through arbitration in Riyadh, Saudi Arabia, in accordance with the rules of the Saudi Center for Commercial Arbitration (SCCA).
  10. The Midwife shall submit monthly activity reports detailing patient encounters, procedures performed, and any adverse events to the Director of Clinical Operations at Riyadh Maternal & Child Health Center.

7. Delivery and Commencement

The Midwife shall report for duty at the Riyadh Maternal & Child Health Center, King Fahd Road, Al Olaya District, Riyadh, Saudi Arabia, no later than 01 August 2025. The supplier is responsible for all onboarding formalities, including verification of the Midwife's credentials, completion of facility orientation, and registration with the hospital's electronic medical records system. The service period under this Purchase Order shall be twelve (12) months, commencing on 01 August 2025 and concluding on 31 July 2026, unless extended by mutual written agreement.

8. Authorization and Signatures

This Purchase Order is authorized and approved by the undersigned representatives of both parties. By signing below, both the buyer and the supplier acknowledge and agree to all terms, conditions, and obligations outlined in this document pertaining to the procurement of Midwife services in Saudi Arabia, Riyadh.
