- This Purchase Order is issued by Singapore Singapore Maternal Health Services Pte. Ltd. and governs the engagement of Midwife services provided by Singapore Singapore Midwifery & Perinatal Care Centre for the period commencing 1 July 2025 through 30 June 2026.
- All Midwife personnel engaged under this Purchase Order must hold a valid Singapore Singapore Nursing & Midwifery Board (SNMB) registration and maintain current professional indemnity insurance with a minimum coverage of SGD 1,000,000 per claim.
- The Midwife service provider shall comply with all applicable Singapore Singapore healthcare regulations, including the Health Professions Act, the Health Sciences Act, and guidelines issued by the Singapore Singapore Ministry of Health (MOH).
- Payment shall be made within thirty (30) calendar days from the date of receipt of a valid tax invoice. Late payments shall attract interest at the rate of 1.5% per month as stipulated under Singapore Singapore commercial law.
- The Midwife provider shall submit monthly service reports detailing the number of antenatal visits, deliveries attended, postnatal visits completed, and any adverse events or incidents to the Purchaser's Quality Assurance team within five (5) business days of month-end.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, all Midwife services rendered up to the termination date shall be invoiced and settled in full.
- All patient records and clinical data generated during Midwife consultations in Singapore Singapore shall be stored in accordance with the Singapore Singapore Personal Data Protection Act (PDPA) and the Health Information Standards. Data shall not be transferred outside Singapore Singapore without explicit written consent.
- Any disputes arising from this Purchase Order shall be resolved through mediation in Singapore Singapore, and failing mediation, through arbitration under the rules of the Singapore Singapore International Arbitration Centre (SIAC).
- This Purchase Order constitutes the entire agreement between the parties regarding the Midwife services described herein and supersedes all prior negotiations, representations, or agreements relating to the subject matter.
