1. Purpose and Scope of This Purchase OrderThis Purchase Order is issued by the Western Cape Provincial Health Department to formally procure the services of a qualified Midwife and associated clinical resources for the provision of antenatal, intrapartum, and postnatal care at the Cape Town Regional Maternity Clinic, situated in the central district of Cape Town, South Africa. - Compliance: The Midwife engaged under this Purchase Order must hold a valid HPCSA registration certificate and a current National Diploma in Midwifery (NQF Level 7) or equivalent qualification recognised by the South African Council on Higher Education. All documentation must be verified prior to commencement of services.
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid tax invoice. Payment will be processed via electronic funds transfer (EFT) to the supplier's designated bank account in South Africa. All amounts are denominated in South African Rand (ZAR) and are inclusive of 15% Value Added Tax (VAT) as per the South African Revenue Service (SARS) regulations.
- Delivery and Commencement: All goods and services referenced in this Purchase Order must be delivered to or commenced at the Cape Town Regional Maternity Clinic, 12 Government Avenue, Cape Town, 8001, South Africa, no later than the dates specified in the line items above. Failure to meet the required commencement date will result in a penalty of 1% of the total Purchase Order value per day of delay, up to a maximum of 10%.
- Quality Assurance: The Midwife's clinical performance will be subject to quarterly performance reviews conducted by the Head of Maternal and Child Health Services. The Midwife must maintain a minimum patient satisfaction score of 85% as measured by the facility's standardised feedback system.
- Confidentiality and Data Protection: The Midwife and the supplier are bound by the Protection of Personal Information Act 4 of 2013 (POPIA) of South Africa. All patient records, clinical data, and personal information must be handled in strict confidence and stored in accordance with the facility's data protection protocols.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the supplier shall be compensated for services rendered up to the date of termination, less any outstanding obligations.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from this Purchase Order shall be subject to the jurisdiction of the High Court of South Africa, Cape Town Division.
- Public Procurement Act Compliance: This Purchase Order is issued in accordance with the Public Finance Management Act 1 of 1999 (PFMA) and the National Treasury's Preferential Procurement Regulations. The supplier confirms that it has not been listed on the National Treasury's List of Excluded Vendors.
