- Regulatory Compliance: The Midwife shall maintain a valid and current registration with the Health Professions Council of South Africa (HPCSA) throughout the entire duration of this Purchase Order. Any lapse in registration shall constitute grounds for immediate termination of this agreement.
- Scope of Practice: All services rendered by the Midwife shall be performed in strict accordance with the South African National Department of Health guidelines, the Midwives Act (Act 47 of 1973, as amended), and the professional standards set by the South African Midwives Association. The Midwife shall operate within the geographical boundaries of the City of Johannesburg Metropolitan Municipality, South Africa.
- Payment Terms: Payment shall be made on a monthly basis within thirty (30) days of receipt of a valid tax invoice from the Midwife. All payments shall be processed via electronic funds transfer (EFT) to the bank account nominated by the service provider. Late payments shall accrue interest at the rate of 10% per annum as stipulated under the South African National Credit Act.
- Confidentiality and Data Protection: The Midwife shall comply with the Protection of Personal Information Act (POPIA) of South Africa in handling all patient records and personal data collected during the provision of services under this Purchase Order.
- Insurance and Indemnity: The Midwife shall maintain a valid professional indemnity insurance policy with a minimum cover of R 5,000,000.00 for the duration of this engagement. Proof of insurance shall be submitted prior to the commencement date.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days written notice. In the event of gross professional misconduct, the purchasing entity reserves the right to terminate this agreement immediately without notice.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the courts of Johannesburg, South Africa.
- Anti-Corruption: Both parties confirm that no bribe, kickback, or improper inducement has been offered or accepted in connection with this Purchase Order, in compliance with the Prevention and Combating of Corrupt Activities Act (Act 12 of 2004) of South Africa.
