2. Description of Procured Services

This Purchase Order is issued by the Khartoum Regional Maternal Health Authority for the procurement of qualified Midwife professional services to be rendered within the jurisdiction of Sudan Khartoum. The purpose of this Purchase Order is to secure the engagement of a certified and licensed Midwife to provide comprehensive antenatal, intrapartum, and postnatal care to expectant mothers and newborns across designated public health facilities in Khartoum, Omdurman, and Bahri districts. 4. Terms and Conditions
  1. Qualification Requirements: The Midwife engaged under this Purchase Order must hold a valid Diploma in Midwifery or equivalent qualification recognized by the Sudanese Ministry of Health and must possess a current, unexpired professional license issued by the Khartoum State Health Directorate. The Midwife must demonstrate a minimum of five (5) years of clinical experience in obstetric and neonatal care within Sudan Khartoum or an equivalent healthcare setting.
  2. Scope of Practice: The Midwife shall provide all services strictly within the scope of practice defined by the Sudanese Midwifery Council. Any procedure exceeding the Midwife's authorized scope must be referred to a qualified obstetrician or gynecologist at the nearest Khartoum public hospital. The Midwife shall maintain a detailed clinical record for every patient attended, in accordance with Sudanese health data protection regulations.
  3. Work Location and Hours: Primary service delivery shall take place at the Khartoum Regional Maternal Health Center, Al-Murad Street, Omdurman.   5. Performance Standards: The Midwife shall maintain a patient satisfaction rate of no less than 90% as measured by quarterly surveys conducted by the Khartoum Regional Maternal Health Authority. Failure to meet this standard for two consecutive quarters shall constitute grounds for termination of this Purchase Order with thirty (30) days' written notice.
  6. Insurance and Liability: The Midwife shall maintain comprehensive professional indemnity insurance with a minimum coverage of 5,000,000 SDG throughout the duration of this Purchase Order. All insurance certificates must be submitted to the Purchasing Entity prior to the commencement of services.
  7. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Midwife shall ensure the safe transfer of all patient records and ongoing care plans to a successor Midwife approved by the Khartoum Regional Maternal Health Authority.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Sudan. Any disputes arising from this Purchase Order shall be resolved through the Khartoum State Arbitration Centre in accordance with Sudanese commercial arbitration procedures.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to civil unrest, natural disasters, or government-mandated health restrictions affecting Sudan Khartoum.
5. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Midwife services in Sudan Khartoum. This Purchase Order constitutes a binding agreement between the Khartoum Regional Maternal Health Authority and Al-Nil Maternity & Midwifery Services LLC for the duration specified herein.
