The Midwife services procured through this Purchase Order are intended to address the critical need for skilled birth attendance in underserved communities within Sudan Khartoum, where maternal and neonatal health indicators require urgent professional intervention. The scope of this Purchase Order encompasses a minimum of twelve (12) consecutive months of dedicated Midwife service delivery, with the option to extend for an additional six (6) months subject to mutual agreement and satisfactory performance evaluation.

- Qualification Requirements: The Midwife engaged under this Purchase Order must hold a valid Diploma in Midwifery or equivalent qualification recognized by the Sudanese Ministry of Health and must possess a current, unexpired professional license issued by the Khartoum State Health Directorate. The Midwife must demonstrate a minimum of five (5) years of clinical experience in obstetric and neonatal care within Sudan Khartoum or an equivalent healthcare setting.
- Scope of Practice: The Midwife shall provide all services strictly within the scope of practice defined by the Sudanese Midwifery Council. Any procedure exceeding the Midwife's authorized scope must be referred to a qualified obstetrician or gynecologist at the nearest Khartoum public hospital. The Midwife shall maintain a detailed clinical record for every patient attended, in accordance with Sudanese health data protection regulations.
- Work Location and Hours: Primary service delivery shall take place at the Khartoum Regional Maternal Health Center, Al-Murad Street, Omdurman. - Payment Schedule: Payment for this Purchase Order shall be made in quarterly installments. Subsequent quarterly payments of 519,000 SDG each shall be due on the 1st of January, April, July, and October of the contract year. All payments shall be made via bank transfer to the account designated by Al-Nil Maternity & Midwifery Services LLC.
- Performance Standards: The Midwife shall maintain a patient satisfaction rate of no less than 90% as measured by quarterly surveys conducted by the Khartoum Regional Maternal Health Authority. Failure to meet this standard for two consecutive quarters shall constitute grounds for termination of this Purchase Order with thirty (30) days' written notice.
- Insurance and Liability: The Midwife shall maintain comprehensive professional indemnity insurance with a minimum coverage of 5,000,000 SDG throughout the duration of this Purchase Order. All insurance certificates must be submitted to the Purchasing Entity prior to the commencement of services.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Midwife shall ensure the safe transfer of all patient records and ongoing care plans to a successor Midwife approved by the Khartoum Regional Maternal Health Authority.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Sudan. Any disputes arising from this Purchase Order shall be resolved through the Khartoum State Arbitration Centre in accordance with Sudanese commercial arbitration procedures.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to civil unrest, natural disasters, or government-mandated health restrictions affecting Sudan Khartoum.
