The Midwife engaged under this Purchase Order shall operate in full compliance with the regulations set forth by the Turkish Ministry of Health and the Ankara Provincial Health Directorate. All services rendered under this Purchase Order shall be delivered at the designated facility located in Turkey Ankara, specifically at the Ankara Maternal Health & Wellness Center, Kızılay District.

- Scope of Engagement: The Midwife and midwifery team engaged under this Purchase Order shall provide all maternal and neonatal care services in strict accordance with the clinical protocols established by Ankara Maternal Health & Wellness Services Ltd. and the Turkish Ministry of Health guidelines applicable in Turkey Ankara.
- Service Period: This Purchase Order covers a service period of one (1) calendar month, commencing on 1 July 2025 and concluding on 31 July 2025. Renewal of this Purchase Order for subsequent months shall require a separate written agreement.
- Payment Terms: Payment for all services and supplies listed in this Purchase Order shall be made within thirty (30) days of receipt of a valid invoice from the vendor. Payment shall be processed via bank transfer to the account designated by Ankara Certified Midwifery & Obstetric Care Group. All amounts are denominated in Turkish Lira (TRY) and are subject to the applicable 20% Value Added Tax (VAT) as per Turkish tax law.
- Quality and Compliance: The Midwife engaged under this Purchase Order must hold a valid professional license issued by the Ankara Provincial Health Directorate and must maintain all required certifications throughout the duration of this Purchase Order. Failure to maintain compliance shall constitute grounds for immediate termination of this Purchase Order without penalty to the buyer.
- Confidentiality: All patient records, medical data, and personal information handled by the Midwife and associated staff in Turkey Ankara shall be treated as strictly confidential in accordance with the Turkish Personal Data Protection Law (KVKK – Law No. 6698). Breach of confidentiality shall result in contractual penalties and potential legal action.
- Insurance and Liability: The vendor shall maintain comprehensive professional liability insurance covering the Midwife and all midwifery personnel for the full duration of this Purchase Order. Minimum coverage shall be 5,000,000 TRY per incident. Proof of insurance shall be provided prior to the commencement of services.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, all services rendered up to the termination date shall be invoiced and paid in accordance with the payment terms stated herein.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Ankara, Turkey.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, epidemics, or government-mandated closures affecting the Turkey Ankara region.
This Purchase Order is authorized and approved for execution by the undersigned representatives of Ankara Maternal Health & Wellness Services Ltd. The Midwife services described herein are essential to the continued operation of our maternal care unit in Turkey Ankara, and timely execution of this Purchase Order is critical to ensuring uninterrupted care for expectant mothers and newborns in the Ankara region.
