- This Purchase Order is governed by the laws of the Republic of Turkey. Any disputes arising from this Purchase Order regarding midwife services in Turkey Istanbul shall be resolved under the jurisdiction of the Istanbul Commercial Courts.
- The midwife(s) engaged under this Purchase Order must hold a valid midwifery license issued by the Turkish Ministry of Health and must be registered with the Istanbul Provincial Directorate of Health. Proof of licensure must be submitted prior to the commencement of services.
- Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the vendor. Invoices must be issued in Turkish Lira (TRY) and must include the vendor's VKN (tax identification number) as required by Turkish commercial law.
- The vendor guarantees that all midwife personnel assigned to the Turkey Istanbul facility will maintain current professional indemnity insurance with a minimum coverage of 5,000,000 TRY per claim.
- Meridian Health & Maternity Services Ltd. reserves the right to request the replacement of any midwife assigned under this Purchase Order if performance standards are not met, with a minimum of fourteen (14) days' written notice.
- All midwife services rendered under this Purchase Order must comply with the Turkish Personal Data Protection Law (KVKK – Law No. 6698) regarding the handling of patient medical records and personal health information.
- This Purchase Order is valid for a period of twelve (12) months from the date of issue, unless terminated earlier by mutual written agreement between both parties.
- Any amendments to the scope of midwife services, staffing levels, or service locations within Turkey Istanbul must be documented in a formal amendment to this Purchase Order and signed by both parties.
