Terms and Conditions — Purchase Order for Midwife Services in United Arab Emirates Dubai

  1. Regulatory Compliance: All Midwife personnel engaged under this Purchase Order must hold valid Dubai Health Authority (DHA) or Dubai Municipality professional licenses. The Vendor shall ensure that every Midwife maintains current UAE Ministry of Health and Prevention (MOHAP) registration and that all credentials are verifiable through the DHA Shamil system prior to commencing services in Dubai.
  2. Scope of Services: The Midwife services described herein encompass the full continuum of maternal and newborn care as defined by the UAE National Maternal Health Strategy. The Vendor shall provide qualified Midwife professionals who are trained in evidence-based midwifery practice, culturally sensitive care delivery, and emergency obstetric interventions appropriate to the United Arab Emirates Dubai healthcare environment.
  3. Payment Terms: Payment shall be made in UAE Dirhams (AED) via bank transfer to the Vendor's designated corporate account in Dubai. Invoices are due within thirty (30) calendar days from the date of receipt of a valid tax invoice issued in compliance with the Federal Tax Authority of the United Arab Emirates. A 5% Value Added Tax (VAT) shall be applied as per UAE tax law.
  4. Service Delivery & Location: All Midwife services shall be rendered at the Purchasing Entity's facility located in Al Barsha 1, Dubai, United Arab Emirates, unless otherwise agreed in writing. Home-visit Midwife services shall be limited to approved residential areas within the emirate of Dubai as designated by the Purchasing Entity.
  5. Confidentiality & Data Protection: The Vendor and all Midwife staff shall comply with the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data. All patient records, medical histories, and personal information of mothers and newborns shall be maintained in strict confidence and stored in accordance with DHA data governance standards applicable in Dubai.
  6. Insurance & Liability: The Vendor shall maintain comprehensive professional indemnity insurance covering all Midwife personnel at a minimum sum insured of AED 5,000,000 per claim, issued by a UAE-licensed insurance carrier. This insurance shall remain in force for the entire duration of this Purchase Order and for a further twelve (12) months thereafter.
  7. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, non-compliance with DHA regulations, or failure to maintain valid Midwife licensure, the Purchasing Entity reserves the right to terminate immediately upon written notice without penalty.
  8. Governing Law & Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and the laws of the emirate of Dubai. Any disputes arising from this Purchase Order shall be resolved through the Dubai International Financial Centre (DIFC) Courts or, at the Purchasing Entity's discretion, through arbitration administered by the Dubai International Arbitration Centre (DIAC).
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to government-mandated closures, epidemics, or civil unrest within the United Arab Emirates Dubai region.
  10. Validity: This Purchase Order is valid for acceptance within fourteen (14) calendar days from the date of issue. Failure to confirm acceptance within this period shall render this Purchase Order null and void.
