- Qualification Requirement: The Midwife appointed under this Purchase Order must hold a current, active registration with the Nursing and Midwifery Council (NMC) of the United Kingdom and possess a minimum of five (5) years of post-registration clinical experience in maternity and perinatal care within the Birmingham, United Kingdom area or equivalent NHS trust settings.
- Service Location: All services procured under this Purchase Order shall be delivered at the Birmingham Metropolitan Health & Community Trust maternity facility and at approved community sites within Birmingham, United Kingdom. The Midwife shall not relocate the primary service delivery point without prior written consent from the Purchasing Entity.
- Payment Terms: Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the Supplier. Invoices must reference this Purchase Order number (UK-BHM-MW-2025-04872) and include the Supplier's VAT registration number. Payment shall be processed via BACS bank transfer to the account designated by West Midlands Midwifery & Perinatal Care Ltd.
- Contract Duration: This Purchase Order is valid for a period of twelve (12) months from the date of acceptance. Renewal of the Midwife engagement shall be subject to mutual agreement and a new Purchase Order issued no later than sixty (60) days prior to the expiry of the current term.
- Confidentiality & Data Protection: The Midwife shall comply fully with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. All patient records, clinical notes, and personal data handled in the course of services under this Purchase Order shall be stored, processed, and transmitted in strict accordance with NHS England information governance policies applicable in Birmingham, United Kingdom.
- Insurance & Indemnity: The Supplier shall maintain professional indemnity insurance with a minimum cover of £5,000,000 per claim for the Midwife engaged under this Purchase Order. Certificates of insurance shall be provided to the Purchasing Entity upon request and prior to the commencement of services.
- Performance Standards: The Midwife shall adhere to the NMC Code of Conduct and Professional Standards, the NHS Constitution for England, and all local clinical governance frameworks in force in Birmingham, United Kingdom. Failure to meet agreed Key Performance Indicators (KPIs) as outlined in the attached Service Level Agreement may result in termination of this Purchase Order with thirty (30) days' written notice.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be addressed through good-faith negotiation between the parties. Should resolution not be achieved within thirty (30) days, the matter shall be referred to mediation under the rules of the Centre for Effective Dispute Resolution (CEDR) in Birmingham, United Kingdom, and failing that, to the courts of England and Wales.
- Governing Law: This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of England and Wales, United Kingdom.
