Terms & Conditions of this Purchase Order
- This Purchase Order is issued in accordance with the NHS London Maternity Framework Agreement 2024/25 and all applicable United Kingdom procurement legislation, including the Public Contracts Regulations 2015.
- All midwife personnel engaged under this Purchase Order must hold current registration with the Nursing and Midwifery Council (NMC) and possess valid Right to Work in the United Kingdom. Proof of registration shall be provided prior to the commencement date of 01 September 2025.
- The supplier, Thames Valley Midwifery Associates Ltd, shall ensure that all midwife staff are subject to enhanced DBS (Disclosure and Barring Service) checks, right-to-work verification, and occupational health clearance as mandated by NHS London employment standards.
- Services shall be delivered at St. Mary's Maternity Unit, Paddington, London W2 1NY, United Kingdom, in full compliance with NICE Guideline NG192 (Intrapartum care) and the Maternity and Perinatal Care standards set by NHS England.
- Payment shall be made within 30 days of receipt of a valid invoice. Invoices must reference this Purchase Order number (UK-LDN-MID-2025-04872) and be submitted to the Procurement Office at the address stated above.
- The supplier shall maintain professional indemnity insurance of no less than £5,000,000 per claim and public liability insurance of no less than £10,000,000 for the duration of this contract. Certificates of insurance shall be provided upon request.
- Any variation to the scope of midwife services, staffing levels, or delivery location within London must be agreed in writing by both parties prior to implementation. Unauthorised variations shall not be eligible for payment.
- This Purchase Order is governed by the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of the United Kingdom, with primary venue in London.
- The supplier shall comply with all data protection obligations under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018 when handling patient information in connection with midwife services.
- Either party may terminate this Purchase Order with 90 days' written notice. In the event of termination, all midwife staff shall be transitioned in a manner that ensures continuity of maternity care for patients in London.
