- This Purchase Order constitutes a binding agreement between Houston Maternal Wellness Center, LLC (hereinafter "Buyer") and Cedar Creek Midwifery Group, PLLC (hereinafter "Vendor") for the provision of Midwife professional services within the United States Houston, Texas metropolitan area.
- The Midwife(s) engaged under this Purchase Order must hold an active Certified Nurse-Midwife (CNM) credential issued by the American Midwifery Certification Board (AMCB) and a valid Texas Board of Nursing license. Proof of licensure and malpractice insurance (minimum $2,000,000 per occurrence) must be submitted prior to the first day of service.
- All Midwife services shall be rendered in strict compliance with the Texas Occupations Code, Title 41, Chapter 301, and all applicable United States Houston municipal health regulations. The Midwife shall maintain a current Basic Life Support (BLS) and Neonatal Resuscitation Program (NRP) certification throughout the contract term.
- Payment shall be made via ACH transfer to the Vendor's designated account within thirty (30) calendar days of receipt of an accurate invoice referencing this Purchase Order number (HOU-MW-2025-04782). Late payments shall accrue interest at a rate of 1.5% per month.
- The Vendor warrants that all Midwife personnel assigned to this Purchase Order shall be free from any disciplinary actions, license suspensions, or pending malpractice claims that would impair their ability to deliver safe obstetric care in the United States Houston region.
- Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay for all Midwife services rendered up to the effective date of termination.
- All patient health information handled by the Midwife under this Purchase Order shall be protected in accordance with the Health Insurance Portability and Accountability Act (HIPAA) and Texas Health and Safety Code, Chapter 181. A signed Business Associate Agreement (BAA) is attached as Exhibit A.
- This Purchase Order is governed by the laws of the State of Texas. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Harris County, United States Houston, Texas, in accordance with the rules of the American Arbitration Association.
- The Vendor shall provide a monthly service report detailing the number of Midwife consultations, deliveries attended, postpartum visits completed, and community workshops delivered. Reports are due by the fifth (5th) business day of the following month.
- This Purchase Order may be amended only by a written addendum signed by authorized representatives of both parties. No oral modifications shall be valid or enforceable.
