1. Compliance: The Midwife and all supporting personnel engaged under this Purchase Order shall maintain current licensure with the New York State Office of the Professions and shall hold valid certification from the American College of Nurse-Midwives or the American Midwifery Certification Board. All practitioners must carry a minimum of $2,000,000 in professional liability insurance, with Manhattan Maternal Health Services, LLC named as an additional insured party.

2. Performance Standards: The Midwife shall adhere to the clinical protocols established by the issuing organization and the New York City Department of Health and Mental Hygiene (DOHMH). Any deviation from approved clinical pathways requires prior written authorization from the Chief Medical Officer of Manhattan Maternal Health Services, LLC.

3. Payment Schedule: Invoices shall be submitted monthly, no later than the 5th business day following the end of each calendar month. Payment under this Purchase Order shall be made via ACH transfer within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month.

4. Confidentiality: All patient health information handled by the Midwife and associated staff shall be protected in accordance with the Health Insurance Portability and Accountability Act (HIPAA), the New York State Public Health Law Article 27-F, and the New York City Administrative Code Title 17. A signed Business Associate Agreement (BAA) is a prerequisite before any patient data is accessed.

5. Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of a material breach, the non-breaching party may terminate with fourteen (14) days written notice. Upon termination, the Midwife shall complete all in-progress patient care plans and transfer medical records within ten (10) business days.

6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York, United States New York City. Any disputes arising hereunder shall be resolved through binding arbitration in New York County, New York, in accordance with the rules of the American Arbitration Association.

7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to acts of God, natural disasters, pandemics, government-mandated closures, or other events beyond reasonable control, provided that the affected party notifies the other within five (5) business days.

All services under this Purchase Order shall be rendered at the following primary facility: Manhattan Maternal Health Services, LLC, 245 West 42nd Street, Suite 1200, New York, NY 10036, United States New York City. Secondary service locations, if applicable, shall be pre-approved in writing by the issuing organization. The Midwife is expected to be physically present at the designated United States New York City facility for all scheduled clinical engagements and shall maintain a minimum of four (4) hours of on-site availability per day, Monday through Saturday.
