1. Purpose and Scope of This Purchase Order

This Purchase Order is issued by the Tashkent City Health Department under the authority of the Ministry of Health of the Republic of Uzbekistan for the procurement of qualified Midwife professional services to be rendered within the administrative boundaries of Uzbekistan Tashkent. The purpose of this document is to formally authorize the engagement of certified midwifery personnel to provide prenatal care, labor and delivery assistance, postnatal support, and community-based maternal health education programs across designated public health facilities in Tashkent. This Purchase Order constitutes a binding procurement instrument in accordance with the Government Procurement Law of the Republic of Uzbekistan (Law No. ZRU-524, as amended) and all applicable regulations governing the employment and engagement of healthcare professionals in the region.

3. Terms and Conditions

Qualification Requirements: All Midwife personnel engaged under this Purchase Order must hold a valid state-recognized diploma in midwifery issued by an accredited institution in the Republic of Uzbekistan, a current professional license from the Tashkent City Medical Licensing Board, and a minimum of three (3) years of documented clinical experience in obstetric and neonatal care within Uzbekistan Tashkent or equivalent recognized jurisdictions.
Service Location: All services described in this Purchase Order shall be performed exclusively within the municipal and suburban boundaries of Tashkent, the capital city of the Republic of Uzbekistan. The supplier shall ensure that all Midwife personnel are physically present and available at the designated facilities during contracted working hours.
Performance Standards: The supplier, Tashkent Maternity and Midwifery Care Center LLC, shall guarantee that all Midwife services meet or exceed the clinical protocols established by the Ministry of Health of Uzbekistan, including but not limited to the National Maternal Health Care Standards (2023 revision) and the Tashkent City Public Health Service Quality Framework.
Payment Schedule: Payment under this Purchase Order shall be disbursed in three (3) equal quarterly installments of 194,500,000 UZS each, due within thirty (30) calendar days following the end of each fiscal quarter, subject to satisfactory performance verification by the Tashkent City Health Department audit team.
Insurance and Liability: The supplier shall maintain comprehensive professional liability insurance covering all Midwife personnel engaged under this contract, with a minimum coverage of 500,000,000 UZS per incident, in compliance with Uzbekistan insurance regulations applicable to healthcare providers in Tashkent.
Termination Clause: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of material breach, termination may be effected with fourteen (14) days notice. Upon termination, all Midwife personnel shall be transitioned in accordance with Uzbekistan labor law provisions.
Confidentiality: All patient records, clinical data, and operational information generated during the execution of this Purchase Order shall be treated as strictly confidential in accordance with the Law of the Republic of Uzbekistan on Personal Data Protection and shall not be disclosed to any third party without written consent of the Tashkent City Health Department.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Uzbekistan. Any disputes arising from or in connection with this document shall be resolved through the competent courts of Tashkent City, Uzbekistan.

4. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Midwife services in Uzbekistan Tashkent. This document becomes effective upon the signature of both authorized representatives and the affixation of official seals.
