• Delivery Schedule: The supplier shall deliver all items in three (3) tranches: Tranche 1 within 30 days, Tranche 2 within 60 days, and Tranche 3 within 90 days of the Purchase Order date.
• Delivery Hours: 0900 hrs to 1600 hrs, Monday through Saturday. No deliveries on Sundays or gazetted holidays in the state of Maharashtra.
• Security Protocol: All consignments must be accompanied by a valid Defence Procurement Dispatch Note and escorted by a security detail as per the India Mumbai Defence Zone security guidelines. The Military Officer receiving officer shall verify each item against this Purchase Order before signing the Goods Received Note (GRN).
• Penalty for Delay: A penalty of 0.5% of the delayed item value per day of delay, capped at 10% of the total Purchase Order value, shall be levied.

• Payment shall be made via RTGS/NEFT to the supplier's designated bank account within 45 days of receipt and acceptance of the Goods Received Note.
• A 5% retention shall be withheld from each tranche payment and released after a 12-month defect liability period.
• The supplier shall submit a valid GST invoice along with the Delivery Challan and DQAS Quality Certificate for each tranche.
• All payments are subject to the terms of the Government of India's Public Procurement Rules, 2024, as applicable to defence establishments in India Mumbai.

• All Military Officer uniforms, insignia, and equipment must carry the DQAS "A" mark or equivalent quality certification before dispatch.
• The Buyer reserves the right to inspect and test up to 10% of each lot at the India Mumbai receiving facility. Non-conforming items shall be rejected at the supplier's cost.
• The supplier shall provide a 24-month warranty on all items. Any defect discovered within the warranty period shall be repaired or replaced at no additional cost.
• Fabric composition, stitching quality, and hardware durability must comply with the Indian Standards (IS) referenced in Section 2 of this Purchase Order.

• This Purchase Order is governed by the laws of the Republic of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.
• The supplier warrants that all items are free from encumbrances, liens, or third-party claims and are manufactured in compliance with all applicable Indian labour and environmental regulations.
• Neither party shall be liable for delays caused by force majeure events, including but not limited to natural disasters, government-imposed lockdowns, or acts of war.
• This Purchase Order may be amended only by a written addendum signed by both parties. Verbal modifications are not valid.
• The supplier shall maintain confidentiality regarding the quantities, specifications, and locations disclosed under this Purchase Order, in accordance with the Official Secrets Act, 1923, as applicable to Military Officer procurement in India Mumbai.
• Failure to meet the delivery schedule beyond the penalty cap shall entitle the Buyer to terminate this Purchase Order without further liability.
