3.1 Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Seller. The Seller must return a signed copy of this Purchase Order to the Buyer's Procurement Division within five (5) business days of receipt. Failure to return the acceptance within the stipulated period shall be construed as a declination of this Purchase Order.

3.2 Delivery and Performance: All services and materials specified in this Purchase Order shall be delivered and made available at the designated training facility in Tachikawa, Tokyo, no later than 01 August 2025. The Military Officer training program shall commence on 04 August 2025 and conclude on 22 August 2025. The Seller is responsible for all transportation, handling, and staging of equipment within the Tokyo metropolitan area.

3.3 Quality Assurance: All equipment procured under this Purchase Order must meet or exceed the standards prescribed by the Japan Self-Defense Forces Equipment Standards Manual (JGSDF-ESM-2024). The Buyer reserves the right to inspect and test all Military Officer equipment prior to acceptance. Non-conforming items must be replaced at the Seller's sole expense within ten (10) business days.

3.4 Security and Confidentiality: Given the sensitive nature of this Military Officer procurement, all personnel assigned by the Seller to this contract must hold a valid Japanese security clearance at the "Confidential" level or above. All documents, communications, and data related to this Purchase Order are classified as FOUO and must be handled in accordance with Japanese National Security Agency (NSA) guidelines. Unauthorized disclosure of any information pertaining to this Purchase Order or the associated Military Officer training program is strictly prohibited and subject to criminal prosecution under the Act on the Protection of Specially Designated Secrets (Act No. 152 of 2013).

3.5 Payment: Payment shall be made in Japanese Yen (JPY) via bank transfer to the account designated by the Seller. Invoices must reference this Purchase Order number (JPT-2025-MIL-04872) and shall be submitted to the Buyer's Finance Office in Tokyo within ten (10) business days of completion of each phase. Payment is due within forty-five (45) days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Japanese commercial law.

3.6 Termination: The Buyer may terminate this Purchase Order in whole or in part at any time for convenience by providing thirty (30) days' written notice to the Seller. In the event of termination, the Seller shall be compensated for all work completed and non-cancellable commitments made up to the date of termination. The Buyer may also terminate for cause if the Seller fails to meet the delivery schedule or quality standards specified herein.

3.7 Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall be resolved through negotiation between the parties. If negotiation fails, the dispute shall be submitted to the Tokyo District Court for adjudication under the laws of Japan. The parties waive any right to arbitration in foreign jurisdictions.

All Military Officer personnel participating in the training program shall report to the Tokyo Metropolitan Command briefing center at 0800 hours on 04 August 2025. The Seller shall coordinate with the Tokyo Metropolitan Police Department and local authorities to ensure all necessary permits, access clearances, and traffic management plans are in place for the duration of the exercise. All training activities within the Tokyo metropolitan area shall comply with local noise ordinances, airspace restrictions, and public safety regulations. The Seller shall designate a single point of contact (SPOC) in Tokyo who shall be available 24/7 during the exercise period to coordinate with the Buyer's on-site representative.
