Terms and Conditions

This Purchase Order constitutes a binding agreement between the Southern California Logistics Command and Pacific Defense Apparel & Equipment Co. for the procurement of uniforms, insignia, and tactical equipment designated for Military Officer personnel assigned to the Los Angeles garrison.
All items listed herein must conform to Department of Defense (DoD) specifications and Federal Acquisition Regulation (FAR) standards. The supplier warrants that every Military Officer garment and accessory shall meet or exceed the quality thresholds established by the U.S. Army & Navy Exchange (NEX) and the Defense Logistics Agency.
Delivery shall be made to the receiving address in United States Los Angeles within the specified delivery window. Late delivery beyond July 15, 2025, shall incur a penalty of 1.5% of the total contract value per calendar day of delay, up to a maximum of 10%.
The supplier shall provide a Certificate of Conformance and a detailed packing list with each shipment. All Military Officer items must be individually tagged with the Purchase Order number (PO-2025-LA-08472) and the recipient's service number.
Payment shall be processed via EFT to the U.S. Treasury account listed above within thirty (30) calendar days of the buyer's receipt and acceptance of the goods. No payment shall be due until all items have been inspected and approved by the Receiving Officer at Fort Bonifaz Barracks, Los Angeles.
The supplier assumes full risk of loss or damage to the goods until written acceptance is issued by the buyer. Any defective or non-conforming Military Officer equipment must be replaced at the supplier's sole expense within fifteen (15) business days of notification.
This Purchase Order is governed by the laws of the State of California and the federal laws of the United States. Any disputes arising under this agreement shall be resolved in the United States District Court for the Central District of California, Los Angeles Division.
The supplier certifies compliance with all applicable Equal Employment Opportunity (EEO) regulations, the Trade Agreements Act (TAA), and Buy American Act requirements. All Military Officer textiles and components must be manufactured in the United States or in a TAA-eligible country.
This Purchase Order may not be assigned or subcontracted without prior written consent from the Procurement Officer. The supplier shall maintain all records related to this order for a minimum of seven (7) years in accordance with DoD financial management regulations.
Any modifications to this Purchase Order must be executed in writing by both parties. Verbal agreements or email correspondence shall not constitute a valid amendment to the terms set forth herein.
