- This Purchase Order constitutes a binding agreement between Southern Cross Events & Productions Pty Ltd (hereinafter "the Buyer") and Whitfield Musical Arts & Performance, represented by Musician Daniel R. Whitfield (hereinafter "the Musician"), for the provision of professional musical performance services in Australia Brisbane.
- The Musician shall perform all services in accordance with the specifications outlined in this Purchase Order and in compliance with all applicable Australian and Queensland state legislation, including the Fair Work Act 2009 (Cth) and the Queensland Public Health Act 2005.
- The Musician warrants that all compositions, arrangements, and performances delivered under this Purchase Order shall be original works free from any intellectual property infringement. The Musician grants the Buyer a non-exclusive, royalty-free licence to record, broadcast, and distribute audio and video of the performances for promotional and archival purposes for a period of five (5) years.
- Payment shall be made via electronic funds transfer (EFT) to the bank account nominated by the Musician within thirty (30) calendar days of receipt of a valid tax invoice. The Musician must provide a tax invoice compliant with the Australian Taxation Office (ATO) requirements, referencing this Purchase Order number (PO-BNE-2025-04871).
- The Musician is required to attend all scheduled soundchecks and rehearsals in Australia Brisbane as specified in the line items above. Failure to attend without prior written approval from the Buyer's Project Manager shall result in a deduction of 15% of the affected line item value.
- In the event of cancellation by the Buyer due to force majeure (including but not limited to severe weather events affecting Australia Brisbane, public health emergencies, or government-mandated venue closures), the Musician shall be compensated for 50% of the total Purchase Order value, less any costs already incurred and documented.
- The Musician shall maintain valid professional public liability insurance of no less than $20,000,000 AUD and shall provide a Certificate of Currency to the Buyer no later than seven (7) days prior to the first performance date. The Buyer shall be named as an additional insured party.
- All performance materials, including sheet music, digital audio files, and stage design specifications, must be delivered to the Buyer's production office in Australia Brisbane no later than 15 August 2025. Late delivery shall attract a penalty of $200 AUD per calendar day.
- This Purchase Order is governed by the laws of the State of Queensland, Australia. Any disputes arising from this Purchase Order shall be resolved through mediation in Australia Brisbane in accordance with the Queensland Civil and Administrative Tribunal (QCAT) procedures before any litigation is commenced.
- The Musician acknowledges that this Purchase Order does not create an employment relationship. The Musician is engaged as an independent contractor and is solely responsible for all tax obligations, superannuation contributions, and work-related insurance as required under Australian law.
- Any amendments to this Purchase Order must be made in writing and signed by both parties. Verbal agreements or informal communications shall not alter the terms of this Purchase Order.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Musician in Australia Brisbane. This Purchase Order becomes effective upon the signature of both the Buyer's authorised representative and the Musician.
