Any disputes arising from this Purchase Order relating to the Musician's services shall be resolved through the Victorian Civil and Administrative Tribunal (VCAT) or the courts of Australia Melbourne.
2. Performance Standards: The Musician warrants that all services rendered under this Purchase Order shall be performed to a professional standard consistent with the expectations of the Australian live music industry. The Musician shall arrive at each Melbourne venue no less than 90 minutes prior to the scheduled performance time for soundcheck and preparation.
3. Equipment: The Musician shall supply all personal instruments, sheet music, and performance attire. Venue-provided equipment (pianos, amplification, microphones) shall be confirmed by the Musician no later than 72 hours before each Melbourne engagement. Any additional equipment required by the Musician must be declared in writing to the Procurement Manager at Yarra Valley Events.
4. Payment Schedule: Payment for this Purchase Order shall be made in two instalments. The remaining fifty percent (50%), being AUD $22,907.50, shall be due within 30 days of the final performance date in Melbourne (19 September 2025). Payment shall be made via bank transfer to the Musician's nominated Australian bank account.
5. Cancellation and Rescheduling: Should any Melbourne event be cancelled or rescheduled by Yarra Valley Events, the Musician shall be compensated at 75% of the contracted rate for the affected date, provided written notice is given no less than 14 days prior to the event. Cancellations by the Musician without valid medical or force majeure justification shall result in forfeiture of the 50% advance payment.
6. Intellectual Property: All original compositions created by the Musician specifically for the Melbourne public art installation (Item 003) shall be licensed to Yarra Valley Events for a period of five (5) years. The Musician retains full copyright ownership of all pre-existing works performed in Australia Melbourne under this Purchase Order.
7. Insurance and Compliance: The Musician shall maintain public liability insurance of no less than AUD $20,000,000 throughout the duration of this Purchase Order. The Musician confirms compliance with all Australian Work Health and Safety (WHS) regulations applicable to live performance venues in Melbourne, Victoria.
8. Travel and Accommodation: For the Yarra Valley engagement (Item 004), Yarra Valley Events shall provide one (1) night's accommodation at a four-star hotel in Healesville, Melbourne VIC, and a return shuttle service from Melbourne CBD. All other travel within the Melbourne metropolitan area is the Musician's responsibility.
9. Confidentiality: The Musician agrees to maintain strict confidentiality regarding all event programming, guest lists, and proprietary compositions shared during the course of this Purchase Order. This obligation shall survive for a period of two (2) years following the final Melbourne performance.
10. Force Majeure: Neither party shall be liable for failure to perform under this Purchase Order due to events beyond reasonable control, including but not limited to severe weather affecting Melbourne, government-mandated venue closures, or public health emergencies declared by the Victorian or Australian federal government.
