- Scope of Engagement: This Purchase Order constitutes a binding agreement between Brasília Cultural Events & Productions Ltda. and the Musician, Marina Costa, for the provision of professional musical services exclusively within the city of Brasília, Distrito Federal, Brazil. The Musician agrees to fulfill all performance, rehearsal, media, and educational obligations as specified in the line items above.
- Payment Terms: The total amount of R$ 32,000.00 (thirty-two thousand Brazilian Reais) shall be paid in two installments: fifty percent (50%) upon execution of this Purchase Order, and fifty percent (50%) within ten (10) business days following the completion of all services in Brasília. Payment shall be made via bank transfer (TED/PIX) to the account designated by the Musician.
- Tax and Legal Compliance: The Musician shall issue a valid Nota Fiscal (invoice) in accordance with Brazilian tax regulations (Lei 8.666/93 and applicable DF municipal codes). All applicable taxes, including ISS (Imposto Sobre Serviços) for services rendered in Brasília, DF, Brazil, shall be calculated and remitted as required by law.
- Cancellation Policy: Cancellation of this Purchase Order by the Buyer more than thirty (30) days prior to the performance date in Brasília shall result in a 25% penalty. Cancellation between 30 and 7 days prior shall incur a 50% penalty. Cancellation within 7 days of the event date in Brasília shall result in full payment of the Purchase Order amount.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting Brasília, DF, Brazil.
- Intellectual Property: All original compositions performed by the Musician during this engagement in Brasília remain the exclusive intellectual property of the Musician. The Buyer receives a non-exclusive license to record and distribute audio/video of the public performance for promotional purposes within Brazil.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of Brasília, Distrito Federal, Brazil.
- Confidentiality: Both parties agree to maintain confidentiality regarding the financial terms of this Purchase Order and any proprietary information exchanged during the Musician's engagement in Brasília, DF, Brazil.
By signing below, both parties acknowledge and agree to all terms set forth in this Purchase Order for the Musician's services in Brazil Brasília. This document is valid for a period of sixteen (16) days from the date of issue.
