- 1. Scope of Work: This Purchase Order authorizes the Musician to perform, record, compose, and rehearse as detailed in the line items above. All services shall be rendered in Rio de Janeiro, Brazil, at the venues and locations specified by Carnevale Productions Ltda.
- 2. Performance Standards: The Musician agrees to maintain professional conduct, arrive no later than 90 minutes prior to each scheduled performance or rehearsal in Rio de Janeiro, and comply with all venue safety regulations established by the city of Rio de Janeiro, Brazil.
- 3. Intellectual Property: All compositions, arrangements, and recordings produced under this Purchase Order shall be jointly owned by Carnevale Productions Ltda. and the Musician, with the Musician retaining the right to perform the works in Rio de Janeiro and throughout Brazil for a period of five (5) years.
- 4. Payment Schedule: 40% of the total Purchase Order value shall be paid upon signing; 40% upon completion of the live performance in Rio de Janeiro; and the remaining 20% within thirty (30) calendar days of final delivery of all recorded and composed materials. Payment shall be made via bank transfer (TED/PIX) to the account registered under the Musician's CNPJ.
- 5. Cancellation Policy: Cancellation by either party with fewer than fourteen (14) days' notice prior to the performance date in Rio de Janeiro, Brazil, shall incur a penalty of 50% of the remaining Purchase Order balance. Cancellation due to force majeure (including but not limited to severe weather events common to the Rio de Janeiro coastline) shall be renegotiated in good faith.
- 6. Insurance and Liability: The Musician shall maintain personal professional liability insurance valid in the state of Rio de Janeiro, Brazil, with a minimum coverage of R$ 500,000.00 for the duration of this Purchase Order engagement.
- 7. Governing Law: This Purchase Order shall be governed by the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of the city of Rio de Janeiro, RJ, Brazil. Any disputes arising from this agreement shall first be submitted to mediation before the Câmara de Comércio, Indústria e Serviços do Rio de Janeiro.
- 8. Compliance: The Musician confirms compliance with all applicable Brazilian labor regulations, tax obligations (including INSS and IRPF contributions), and the specific cultural event licensing requirements of the Secretaria Municipal de Cultura of Rio de Janeiro, Brazil.
