• Cancellation Policy: Cancellation by the Buyer more than 30 days prior to the event shall result in a 20% penalty. Cancellation between 30 and 7 days shall incur a 50% penalty. Cancellation within 7 days of the event date shall result in full payment of the Purchase Order total.
• Musician Obligations: The Musician shall maintain professional conduct, arrive punctually for all rehearsals and performances, and comply with all venue safety regulations in Brazil São Paulo. The Musician shall provide all personal instruments unless otherwise specified in this Purchase Order.
• Intellectual Property: All original compositions performed by the Musician remain the property of the Musician. The Buyer receives a non-exclusive license to record and distribute audio/video of the performance for promotional purposes within Brazil.
• Force Majeure: Neither party shall be liable for failure to perform due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting Brazil São Paulo.
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of the city of São Paulo, State of São Paulo.
• Confidentiality: Both parties agree to maintain confidentiality regarding the financial terms of this Purchase Order and any proprietary information exchanged during the engagement of the Musician.
