- This Purchase Order constitutes a binding agreement between Guangzhou Harmony Events Co., Ltd. (hereinafter "Buyer") and Pearl River Musician Collective (hereinafter "Supplier") for the provision of Musician performance services, equipment rental, and related logistical support to be executed in China Guangzhou.
- All Musician personnel engaged under this Purchase Order must hold valid performance permits issued by the Guangzhou Municipal Bureau of Culture and Tourism. The Supplier shall ensure that every Musician on the roster is fully licensed and insured prior to arrival in China Guangzhou.
- The Supplier guarantees that the Musician ensemble will arrive in China Guangzhou no later than August 13, 2025, to complete two full rehearsal days at the designated venue on Haixinsha Island. Any delay in the Musician personnel's arrival will result in a penalty of 2% of the total Purchase Order value per day of delay.
- Payment shall be made in Chinese Yuan (CNY) via bank transfer to the Supplier's designated account in China Guangzhou. A 40% advance payment is due upon acceptance of this Purchase Order, and the remaining 60% shall be settled within 30 days of the final performance date.
- The Supplier is responsible for all visa processing, work permit applications, and immigration compliance for every Musician traveling to China Guangzhou under this Purchase Order. All associated government fees are included in the line-item pricing above.
- Intellectual property rights for any original compositions performed by the Musician personnel remain with the respective Musician or their publishing entity. The Buyer receives a non-exclusive license to record and distribute audio/video of performances held in China Guangzhou for promotional purposes only.
- In the event of force majeure (including but not limited to severe weather, government-mandated closures, or public health emergencies in China Guangzhou), either party may suspend obligations under this Purchase Order without penalty, provided written notice is given within 48 hours.
- All disputes arising from this Purchase Order shall be resolved through arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC), with the seat of arbitration in China Guangzhou. The governing law shall be the Civil Code of the People's Republic of China.
- The Supplier warrants that all Musician personnel are free from any contractual obligations that would prevent their full participation in the events scheduled in China Guangzhou during the performance period.
- This Purchase Order may only be amended in writing, signed by authorized representatives of both parties. Verbal modifications or email confirmations shall not alter the terms herein.
By signing below, both parties acknowledge and agree to all terms specified in this Purchase Order for the engagement of Musician services in China Guangzhou. This document is valid for a period of 30 days from the date of issue.
