3. Musician Qualifications: The Seller warrants that the Lead Musician and all ensemble members engaged under this Purchase Order hold valid professional credentials, performance licenses, and any necessary work permits required for performing in China Shanghai. The Seller shall provide copies of all relevant certifications prior to the commencement of rehearsals.
4. Compliance with Local Regulations: All Musician services rendered under this Purchase Order shall comply with the regulations of the Shanghai Municipal Culture and Tourism Bureau, the China Shanghai Public Security Bureau, and all applicable national laws of the People's Republic of China governing live performances and public gatherings.
5. Cancellation Policy: Should the Buyer need to cancel this Purchase Order, written notice must be provided no fewer than 30 days prior to the first scheduled Musician performance in China Shanghai. Cancellation within 30 days shall incur a 25% penalty on the total Purchase Order value. Cancellation within 14 days shall incur a 50% penalty.
6. Force Majeure: Neither party shall be held liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in China Shanghai, or public health emergencies.
7. Intellectual Property: All original compositions performed by the Musician under this Purchase Order remain the intellectual property of the Musician or the Seller. The Buyer is granted a non-exclusive license to record and broadcast the Musician performances for promotional purposes related to the China Shanghai International Cultural Festival 2025.
8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. If unresolved within 30 days, the matter shall be submitted to arbitration under the Shanghai International Economic and Trade Arbitration Commission in China Shanghai.
9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China, with specific reference to the commercial regulations applicable in China Shanghai.
