Payment for this Purchase Order shall be made in United States Dollars (USD) via bank transfer to the Supplier's designated account at the Commercial Bank of Congo (BCC), Kinshasa branch, DR Congo. The payment schedule is as follows:

• Advance Payment (50%): USD 2,378.00 due within five (5) business days of the Supplier's written acceptance of this Purchase Order.
• Balance Payment (50%): USD 2,378.00 due within ten (10) business days following the successful completion of all deliverables and delivery of final audio masters and sheet music.

Late payments shall incur a penalty of 1.5% per month, in accordance with the commercial code of the DR Congo. All payments are subject to the Buyer's verification of satisfactory performance as outlined in this Purchase Order.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Musician Supplier upon signature by both parties. All terms are governed by the commercial and civil codes of the Democratic Republic of Congo.
2. The Musician shall perform all services in a professional and timely manner, adhering to the schedule set forth in Section 4. Any delay exceeding 24 hours without prior written justification may result in a 5% deduction per day from the total Purchase Order value.
3. The Musician warrants that all compositions and arrangements delivered under this Purchase Order are original works, free from any intellectual property claims by third parties. The Musician grants the Buyer a non-exclusive, perpetual license to use, reproduce, and distribute the recorded audio and sheet music for promotional and archival purposes within the DR Congo and internationally.
4. The Buyer shall provide the Musician with reasonable access to the performance venue, adequate stage equipment (PA system, monitors, backline), and a secure green room on the event day at the Palais de la Culture, Kinshasa.
5. Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination by the Buyer after the advance payment has been made, the Supplier shall retain the advance payment as compensation for work already performed. In the event of termination by the Supplier without cause, the Supplier shall refund the full advance payment within ten (10) business days.
6. All disputes arising from this Purchase Order shall first be subject to good-faith negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be referred to the competent commercial court in Kinshasa, DR Congo.
7. This Purchase Order is issued in two (2) original copies, one for each party. Electronic copies bear the same legal validity as originals under DR Congo law.
