This Purchase Order is issued by Alexandria Cultural Events & Productions Ltd. to formally procure the professional services of a Musician for a series of cultural and entertainment events to be held in Egypt Alexandria during the summer season of 2025. The Musician engaged under this Purchase Order shall be responsible for live musical performances, sound-check preparation, and on-site coordination at each designated venue within the Alexandria Governorate. Payment for this Purchase Order shall be made in Egyptian Pounds (EGP) via bank transfer to the Musician's designated account. The payment schedule is as follows:

• 50% Advance Payment: Due within 5 business days of the Purchase Order acceptance, prior to the first event in Egypt Alexandria.
• 40% Milestone Payment: Due within 7 business days following the completion of the second event (Marina Bay Hotel gala).
• 10% Final Payment: Due within 10 business days after the final deliverable (youth workshop) is completed and a written acceptance is issued by the Buyer.

All payments are subject to the Musician providing valid tax invoices in accordance with the Egyptian Tax Authority regulations applicable in Alexandria.

• This Purchase Order constitutes a binding agreement between the Buyer and the Musician for the services described herein, to be performed in Egypt Alexandria.
• The Musician shall provide all necessary musical instruments, equipment, and personal attire required for each performance. The Buyer shall provide stage, lighting, and basic sound-system infrastructure at each venue.
• The Musician agrees to arrive at least 90 minutes before each scheduled performance for sound-check and preparation, as specified in this Purchase Order.
• Any cancellation by the Buyer must be communicated in writing no fewer than 14 calendar days before the event date. Cancellations within 14 days shall incur a 50% fee on the affected line item of this Purchase Order.
• The Musician reserves the right to reschedule a performance by mutual written agreement if force majeure events (including but not limited to severe weather affecting the Alexandria coastline) prevent the event from proceeding.
• All intellectual property rights to original compositions performed by the Musician remain with the Musician. The Buyer receives a non-exclusive, non-transferable license to record and distribute audio/video of the performances for promotional purposes within Egypt Alexandria and the broader Egyptian market.
• This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Alexandria, Egypt.
• The Musician shall maintain valid professional liability insurance covering all performances conducted under this Purchase Order in Egypt Alexandria.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms set forth in this Purchase Order for the engagement of the Musician in Egypt Alexandria.
