- Acceptance: This Purchase Order shall become effective upon written acceptance by the Musician. The Musician must confirm acceptance in writing no later than 20 June 2025. Failure to confirm within this period shall render this Purchase Order null and void.
- Payment Terms: A 50% advance payment (EGP 29,355.00) shall be transferred to the Musician's designated bank account in Cairo, Egypt, within five (5) business days of acceptance. The remaining 50% balance (EGP 29,355.00) shall be paid within ten (10) business days following the successful completion of the performance.
- Performance Obligations: The Musician agrees to arrive at the venue in Cairo, Egypt, no later than 18:00 on the date of the event for sound check and final preparation. The Musician shall perform in accordance with the setlist and arrangements agreed upon during the rehearsal session.
- Professional Standards: The Musician warrants that he holds a valid professional musician's license issued by the Egyptian Ministry of Culture and that all instruments and equipment used shall be in proper working condition. The Musician shall maintain professional conduct throughout the event in Cairo, Egypt.
- Cancellation Policy: Either party may cancel this Purchase Order with a minimum of fourteen (14) days' written notice. Cancellation by the Buyer within fourteen (14) days of the event date shall incur a penalty of 75% of the total Purchase Order value. Cancellation by the Musician within this period shall require full refund of any advance payment received.
- Intellectual Property: All custom compositions and arrangements created by the Musician specifically for this event in Cairo, Egypt, shall remain the intellectual property of the Musician. The Buyer is granted a non-exclusive, non-transferable license to record and distribute audio and video of the performance for internal corporate use only.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Cairo, Egypt.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Cairo, Egypt, or public health emergencies.
- Confidentiality: Both parties agree to maintain confidentiality regarding the financial terms of this Purchase Order and the specific details of the event programming in Cairo, Egypt, unless disclosure is required by Egyptian law or regulatory authority.
- Entire Agreement: This Purchase Order, together with any attached schedules and the Musician's professional contract, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the engagement of the Musician for this event in Cairo, Egypt.
