5.1 Performance Period: The Musician shall render all services between 1 July 2025 and 31 August 2025, with the primary festival performance scheduled for 19 July 2025 at the Friendship Stadium grounds, Addis Ababa, Ethiopia.
5.2 Payment Terms: Payment shall be made in two installments. The first installment of 50% (ETB 155,825) shall be due within 14 days of the execution of this Purchase Order. The second installment of 50% (ETB 155,825) shall be due within 21 days following the successful completion of all deliverables and the final performance. Payment shall be made via bank transfer to the Musician's designated account at Commercial Bank of Ethiopia, Addis Ababa branch.
5.3 Cancellation Policy: Either party may cancel this Purchase Order with a minimum of 14 days' written notice. In the event of cancellation by the Buyer after the 14-day window, the Musician shall be compensated for 70% of the total Purchase Order value. In the event of cancellation by the Musician without cause, the Musician shall refund any advance payments received within 7 business days.
5.4 Intellectual Property: All compositions, arrangements, and recordings created under this Purchase Order shall be jointly owned by the Buyer and the Musician. The Musician retains the right to perform the compositions at other venues in Ethiopia Addis Ababa and internationally, provided the Buyer is credited as the commissioning entity.
5.5 Compliance: The Musician warrants that all services rendered under this Purchase Order shall comply with the regulations of the Ethiopian Ministry of Culture and Sports, the Ethiopian Revenue Authority, and all applicable local ordinances in Addis Ababa. The Musician shall maintain valid professional licensing throughout the contract period.
5.6 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting Ethiopia Addis Ababa.
5.7 Dispute Resolution: Any disputes arising from this Purchase Order shall first be addressed through good-faith negotiation. If unresolved within 30 days, the matter shall be submitted to the Addis Ababa City Court for adjudication under Ethiopian commercial law.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This document represents a formal procurement instrument issued in accordance with the internal procurement policies of Horn of Africa Cultural Events PLC and the commercial regulations of the Federal Democratic Republic of Ethiopia.
